롯데카드와 롯데손해보험(롯데손보) 등이 인수합병(M&A) 시장에 매물로 나올 전망이다. 롯데그룹이 지주사 체제로 전환, '뉴 롯데' 재건을 위해 금융계열사를 매각을 공식화 했다. 롯데는 지난 달 신동빈 회장의 경영복귀 이후 지배구조 개편을 위한 계열사 지분 정리, 대규모 고용·투자계획 발표 등 ‘뉴 롯데’ 재건을 위해 속도를 내고 있다.

롯데그룹은 28일 “일반 지주회사가 금융계열사를 소유할 수 없다는 금산분리 원칙에 대한 대응책을 고심한 끝에 롯데카드와 롯데손해보험을 외부에 매각하는 방안을 검토하기로 했다”고 밝혔다. 관련 내용은 사내통신망이나 이메일로 직원들에게 전달했다.

롯데의 금융계열사 매각은 지주사 체제 전환에 따라 이뤄졌다. 롯데는 지난해 10월 롯데지주를 설립했다. 지주사 체제를 완전히 갖추기 위해서는 지주사 설립 2년 이내에 롯데손해보험, 롯데카드 등 금융 계열사들을 정리해야 한다. 공정거래법상 금융지주가 아닌 경우 지주사 전환 또는 설립 2년 이내에 금융 관련 회사 주식을 매각해야 되기 때문이다.

롯데손해보험의 경우 호텔롯데가 23.68%를 가지고 있다. 롯데지주가 지분을 직접 가지고 있는 건 아니지만 호텔롯데가 롯데지주 계열사로 편입될 것을 감안한 움직임이란 평가다. 롯데 금융계열사의 매각 주관사는 매각 주관사는 씨티글로벌마켓증권이다. 법률자문은 김앤장법률사무소를 선정한 것으로 알려졌다.

증권가에선 당초 롯데가 금융계열사를 제3자에게 매각하지 않고, 지주회사 체제에 소속되지 않은 롯데계열사 등을 활용해 금융회사를 넘길 수 있다고 예상했다. 특히 롯데캐피탈과 롯데카드를 우선 매각하고 롯데손해보험은 나중에 매각에 나설 것으로 전망했다. 그러나 롯데캐피탈은 일본 주주들이 많고 실적이 좋아 아직 매각 대상으로 내놓지 않은 것으로 전해진다.

 

일단 롯데가 롯데카드와 롯데손보의 외부 매각을 공식화함에 따라 M&A 업계가 술렁일 전망이다.

신한금융지주를 비롯해 국내 대표 금융지주사들이 은행업 외의 사업경쟁력 강화를 위해 M&A를 적극 활용하고 있는 만큼 M&A를 사업경쟁력 확대로 활용할 수 있다는 게 이유다.

M&A업계 한 관계자는 "신한금융이 M&A를 통해 시장 경쟁력 강화를 적극 적으로 꾀하고 있다”며 "롯데손보에 관심을 갖고 있는 것으로 알고 있다"고 말했다. 다만 그는 “신한금융이 오렌지생명을 M&A한 만큼 관심이 실행으로 이어질지는 미지수”라고 말했다. 현재 롯데카드와 롯데손보를 인수하겠다고 공식적으로 밝힌 기업은 없는 상태다.

롯데는 일단 적정 수준의 매각 금액을 제시하는 기업이 있다면 적극적인 협상에 나설 가능성이 높다는 게 M&A업계의 평가다. 롯데는 최근 롯데케미칼 지분 23.2%를 호텔롯데와 롯데물산으로부터 약 2조2000억원에 양수하기로 하고 지주체제 밖에 있던 화학 계열사들을 지주체제 내로 편입하는 등 계열사 정리에 속도를 올리고 있다.

금융계열사 매각 대금은 롯데케미칼의 지분을 인수하려고 빌린 단기차입금을 갚는 자금으로 활용이 가능하다.

롯데 관계자는 "금융계열사가 4차 산업혁명의 시대에서 더 큰 성장과 도약을 이룰 수 있도록 도와줄 최적의 인수자를 신중하게 검토해 선정할 계획"이라며 "롯데와 전략적 방향을 같이 하면서 임직원들을 보호하고 존중해 줄 인수자를 찾을 것"이라고 밝혔다.

Lotte Card Co. and Lotte Insurance Co. are expected to be sold in the M&A market. Lotte Group has officially sold its financial affiliates to rebuild "New Lotte" as it has switched to a holding company system. Since Chairman Shin Dong-bin's return to management last month, Lotte has been speeding up efforts to rebuild its "New Lotte" by clearing up stakes in affiliates to overhaul its governance structure and announcing large-scale employment and investment plans.


Lotte Group said Friday that it has decided to consider selling Lotte Card and Lotte Damage Insurance to the outside world after mulling countermeasures against the principle of separation of gold and silver that a general holding company cannot own a financial unit. Related information was delivered to employees via in-house communication networks or by e-mail.

Lotte's sale of its financial units came in line with the change in the holding company's system. Lotte established Lotte shares in October last year. To fully establish the holding company system, the financial affiliates such as Lotte Damage Insurance Co. and Lotte Card Co. must be sorted out within two years of the establishment of the holding company. This is because under the Fair Trade Act, non-financial shareholders are required to sell their shares in financial-related companies within two years of the conversion or establishment of the holding company.

For Lotte Damage Insurance, Hotel Lotte has 23.68 percent. Although Lotte does not have a direct stake in the company, the move is seen as a consideration that Hotel Lotte will be included as an affiliate of Lotte Holdings. The organizer of the sale of Lotte's financial units is Citigroup Global Markets Securities. The legal advisor is known to have chosen the Kim & Chang Law Office.

Stock market sources predicted that Lotte could not sell its financial affiliates to a third party and hand over the financial firms by using Lotte affiliates that are not affiliated with the holding company system. In particular, it predicted that Lotte Capital and Lotte Card will be sold first, while Lotte Damage Insurance will be put up for sale later. Lotte Capital, however, is said to have yet to be put up for sale due to its large number of Japanese shareholders and good performances.

For now, the M&A industry is expected to be on the wane as Lotte has officially made outside sales of Lotte Card and Lotte Sonbo official.


This is because Korea's leading financial holding companies, including Shinhan Financial Group, are actively utilizing M&As to strengthen their business competitiveness outside of the banking industry.

"Shinhan Financial Group is actively trying to strengthen its competitiveness in the market through M&A," an M&A industry source said. "We understand that it is interested in Lotte Sonbo." "As Shinhan Financial has M&A on Orange Life, it is uncertain whether attention will lead to implementation," he said. Currently, no company has officially announced that it will take over Lotte Card and Lotte Sonbo.

For now, Lotte is likely to engage in active negotiations if there is a company offering an appropriate level of sales amount, according to Lotte has recently decided to buy a 23.2 percent stake in Lotte Chemical from Hotel Lotte and Lotte Logistics for about 2.2 trillion won and has been speeding up the process of cleaning up its affiliates by incorporating chemical affiliates outside the holding system into the holding system.

The proceeds from the sale of the financial units can be used as funds to repay short-term loans borrowed to take over stakes in Lotte Chemical.

"We will carefully review and select the best buyer to help financial affiliates achieve greater growth and leap forward in the era of the fourth industrial revolution," a Lotte official said. "We will find a buyer who will protect and respect our executives and employees while taking a strategic direction with Lotte."
