지비시코리아가 '블록체인 기술을 활용한 인수합병(M&A) 플랫폼(M&A 플랫폼)' 관련 특허를 국내외에 출원했다. M&A 플랫폼은 일반인 접근이 어려웠던 기업 M&A 거래에 블록체인 기술을 도입, 전 세계 누구나 적은 비용으로 참여해 투명하고 안전한 M&A 거래를 할 수 있도록 한 것이 특징이다. 누구나 M&A 플랫폼을 이용하면 전세계 M&A 대상 기업을 거래할 수 있게 된다는 얘기다.

31일 업계에 따르면 지비시코리아는 지난 27일 M&A 플랫폼 관련 특허를 국내외에 출원했다. 발명 명칭은 '블록체인 기반 인수합병 서비스 제공 시스템 및 이의 동작 방법'이며, 특허법인 태평양을 통해 특허 출원이 이뤄졌다.

지비시코리아는 전통적인 인수합병 프로세스를 블록체인 기반으로 새롭게 구현할 수 있는 'M&A 플랫폼' 원천기술을 확보하고, 미국 실리콘밸리에 위치한 테크코인즈(Techcoins )와 함께 관련 사용자 단말기를 포함한 시스템 구축에 나설 계획이다.

M&A 해당 플랫폼은 일반인 접근이 어려웠던 기업 M&A 거래에 블록체인 기술을 도입, 전 세계 누구나 적은 비용으로 참여해 투명하고 안전한 M&A 거래를 할 수 있도록 만들었다. 전 세계 M&A 대상 기업이 디지털자산화 되고, 스마트 컨트랙트를 통해 플랫폼 내에서 거래가 가능하다.

M&A 플랫폼은 기존 투자은행과 같은 중개기관 중심의 거래방식이 아닌 매수자(투자자), 매도자 등 참여자 중심 플랫폼이다.

기존 M&A 거래에서 중개인이 정보를 독점한 후 적합한 매도·매수자를 연결해 주는 것과 달리, 투자자가 직접 성장 가능성 높은 기업을 선택할 수 있고 거래 과정의 모든 정보를 실시간으로 공유한다.

거래 중개기관(투자은행, 사모펀드 등)의 복잡한 조정과정 없이 M&A 거래가 시작 단계부터 청산 때까지 표준화된 절차에 따라 신속하고 투명하게 이뤄진다.

거래 비용도 최소화했다. 착수금, 운용보수, 성과보수 등 중개기관이 가져가는 20~30%의 거래 비용이 투자자 수익으로 돌아간다. M&A 거래에 참여한 후 일정기간이 지난 다음 언제든지 보유하고 있는 암호화폐를 거래소에서 매도한 후 자금회수가 가능하다. 손쉽게 다른 M&A 프로젝트로 갈아탈 수 있다.

M&A 플랫폼은 암호화폐 UCX를 통해 참여가 가능하다. UCX를 전 세계 암호화페거래소에서 구입해 금액과 관계없이 누구나 M&A 거래에 참여할 수 있다. UCX는 두바이에 설립한 하이퍼 스왑(Hyper Swap)을 통해 10억개가 발행됐다. UCX 가치평가는 M&A플랫폼 성장 가치를 바탕으로 평가가 이루어졌다. 실제 UCX의 가치를 평가하기 위해 세계적인 회계법인 그랜트손튼과 협력관계인 대주회계법인과 연세대학교 산학 협력단이 물리학과 수학을 결합한 공식으로 수천번의 시뮬레이션을 거쳤다. 회계법인에서 발간한 가치평가서에 따르면 UCX 오픈 약 7년 후인 2025년 10월 기준, UCX 토큰 1개 가치가 27.61달러~35.58달러로 평가됐다.
