정부가 국내 첨단기술의 해외 유출을 막기 위해 기업간 인수합병(M&A)을 통제한다. 첨단기술을 유출한 사람에 대해서는 징벌적 손해배상을 하도록 하는 등 처벌도 강화키로 했다. 국내 산업기술의 유출을 막고, 국가 경쟁력 향상을 꾀하기 위한 일환에서다.


3일 M&A업계에 따르면 이날 정부는 이낙연 국무총리 주재로 국정현안점검회의를 열고 산업기술 유출 근절대책을 발표했다. 산업기술 유출 근절대책은 산업통상부와 특허청, 법무부 등이 마련했다.


산업기술 유출 근절대책으로는 우선 국가 연구개발(R&D) 지원을 받아 국가핵심기술을 보유하게 된 국내 기업을 외국 기업이 M&A를 하려면 정부의 승인을 받아야 한다. 그동안 신고만 하면 됐던 점에 비하면 절차가 까다로워졌다.


국가 R&D 지원을 받지 않고 핵심기술을 자체 개발한 국내 기업이라도 외국 기업이 인수·합병할 때는 지금까지 신고 등의 의무가 없었지만, 앞으로는 반드시 정부에 신고해야 한다.


산업기술 침해행위에 대한 처벌도 강화된다. 국가핵심기술이나 영업비밀 등을 고의로 유출한 사람에겐 기업에 끼친 손해액의 최대 3배까지 물어내도록 하는 징벌적 손해배상제를 도입키로 했다.

 

현재는 국가핵심기술 유출이나 일반산업기술 유출 모두 '15년 이하 징역 또는 15억 원 이하 벌금'으로 동일한 처벌기준을 적용받고 있지만 향후 국가핵심기술의 해외유출에 대해서는 최소형량을 '3년 이상 징역'으로 강화한다.


정부는 산업기술과 영업비밀의 해외유출 범죄로 얻은 수익은 물론 수익에서 증식된 재산까지 환수할 수있도록 범죄수익은닉규제법도 개정한다. 무엇보다 재판 과정에서 피해기업이 기술유출에 따른 손실을 입증해야 하는 부담을 덜어주기 위해 피해액 산정 등에 필요한 자료를 법원이 유출자에게 제출 명령할 수 있는 권한을 도입할 예정이다.


정부는 현행 12개 분야 64개 기술로 지정된 국가 핵심기술을 인공지능(AI), 신소재 등 신규 업종으로 확대 지정하고, 영업비밀 범죄 구성요건을 완화해 기술보호 범위를 넓힐 계획이다.


정부의 이같은 정책 추진은 국내 기술보호 체계가 '기술탈취형 M&A' 시도에 취약하고 유출 피해의 심각성에 비해 처벌이 관대하다는 지적이 제기된데 따른 것이다. 미국 일본 등 주요국들은 오래전부터 기술보호를 강화해왔다.

미국의 경우 '외국인 투자위험 심사 현대화법'을 제정해, 미국 내 기업에 대한 외국 기업의 M&A에 대해서는 국방 관련 시설의 인근 부동산을 매입하는 경우까지도 엄격한 심사를 진행하고 있는 게 대표적이다.


정승일 산업부 차관은 "산업기술 보호는 기술개발과 동일하게 우리 산업의 경쟁력 유지에 핵심적 요소"라며 “산업기술 유출방지에 만전을 기하고, 산업현장 목소리를 수렴해 기술보호 대책을 지속 발굴할 것”이라고 말했다.

The government will control mergers and acquisitions between companies to prevent the outflow of domestic high-tech technologies.

The government will also strengthen punishment by requiring those who leaked the latest technology to pay punitive damages.The plan is aimed at preventing leakage of domestic industrial technology and improving national competitiveness.

According to the M&A industry on Friday, the government held a parliamentary inspection meeting presided over by Prime Minister Lee Nak-yeon and announced measures to eradicate the leakage of industrial technology.

The Ministry of Commerce, Industry and Energy, the Korean Intellectual Property Office and the Ministry of Justice have prepared measures to eradicate the leakage of industrial technology.

To combat the leakage of industrial technology, foreign companies must first get the government's approval to conduct M&A with Korean companies that are equipped with national core technologies with support for R&D.

Compared to the fact that it had only to report it, the procedure has become more complicated. Even Korean companies that developed their own core technologies without receiving support for national R&D have not been obliged to report to the government when foreign companies acquired or merged.

Punishment for industrial technology infringement will also be strengthened. The government has decided to introduce a punitive compensation system that allows those who intentionally leaked the nation's core technology or business secrets to repay up to three times the damage they caused to businesses.

Currently, both major national technology leaks and general industrial technology leaks are subject to the same punishment standard with imprisonment for up to 15 years or a fine of up to 1.5 billion won, but the minimum sentence for overseas leaks of national core technologies will be 3 years.

The government will also revise a law to hide criminal profits so that it can recover profits from industrial technology and business secrets from overseas leaks as well as the wealth that has multiplied from profits.

First of all, the court can order the applicant to submit data necessary for calculating damages to relieve the burden of proving losses caused by technology leaks.

The government plans to designate key national technologies, currently designated as 64 technologies in 12 categories, as new industries such as artificial intelligence and new materials, and expand the scope of technology protection by easing requirements for secret business crimes.

The government`s policy push comes after critics pointed out that Korea`s technology protection system is vulnerable to technology takeover attempts and generous punishment compared to the severity of the leakage.

Major countries such as the U.S. and Japan have long strengthened their technology protection.

In the U.S., the Foreign Investment Risk Assessment Modernization Act has been enacted, and the U.S. firm has strict screening procedures even if it buys real estate near defense facilities.

Protection of industrial technologies is the same key element in maintaining competitiveness of our industries as development of technologies. " said Vice Minister of Industry and Industry Chung Seung-il.
