올해 하반기부터 국내 중견기업들의 사업 전환이 쉬워진다. 그동안 중소기업에게만 적용됐던 사업전환 특례가 중견기업으로 확대 됐기 때문이다. 특례 확대가 이뤄짐에 따라 중견기업들이 신사업 추진 및 성장동력 마련을 위해 인수합병(M&A)를 적극 활용할 수 있을 전망이다.

M&A업계는 정부의 이같은 정책 변화가 시장 활성화를 이끌 수 있다는 점에서 긍정적인 평가를 내놓고 있다.
8일 M&A업계에 따르면 산업통상자원부는 지난 7일 '중견기업법(중견기업 성장 촉진 및 경쟁력 강화에 관한 특별법)'이 개정·공포됐다고 밝혔다. 사업 전환 범위가 확대된 중견기업법은 7월 9일부터 시행될 예정이다.

사업 전환이란 업종의 전환 및 추가를 뜻한다. 기존 업종의 사업을 그만두고 새로운 업종의 사업을 운영하는 경우(전환)나 기존 사업의 규모를 줄이거나 유지하면서 새로 추가된 업종의 사업 비중이 일정 수준 이상으로 늘어난 경우(추가) 등이 해당된다.

그동안 상법상 기업의 자기 주식 취득 행위는 엄격히 제한됐다. 그러나 중견기업법이 개정되면 중견기업이 전략적 제휴를 통한 사업 전환을 목적으로 파트너 기업과 주식 교환을 추진하고자 할 경우 이에 필요한 자사 주식을 자기 명의로 취득하기가 쉬워지게 된다. 교환 주식의 규모가 발행주식 총수의 50% 이내이기만 하면 주주총회 승인 대신 이사회 의결로 갈음할 수 있게 된다.

 

합병이나 영업양수도 등을 이행할 땐 채권자 이의 제기 기간, 주주총회 소집 통지 기한, 합병 계약서 등 공시 기일, 간이 합병 등에 있어 상법보다 완화된 요건을 적용받게 된다.

간소화 절차를 적용받기 원하는 중견기업은 사전에 '사업전환계획'을 세워 산업부 장관의 승인을 받아야 한다. 과잉공급 여부 등 산업 환경적 측면이 아니라 개별 기업이 제시하는 사업 목표의 현실성 여부가 승인의 판단 기준이 될 예정이다.

세부 요건인 '대상 기업의 규모(매출액 일정 수준 미만)'와 '사업계획 승인 절차' 등은 대통령령으로 정한다.
산업부 측은 "'기업활력법(기업 활력 제고를 위한 특별법)상 사업재편제도는 기업의 구조 변경을 통해 해당 산업의 과잉 공급을 해소하기 위한 것인데 반해 동 사업전환제도는 개별 기업들의 전략적 고려에 따른 신사업 진출을 용이하게 하기 위한 것"이라며 "중견기업과 유망 스타트업 간 전략적 제휴 및 인수·합병(M&A) 등을 활성화하는 데 초점이 맞춰질 것"이라고 밝혔다.

According to the M&A industry on the 8th, the Ministry of Trade, Industry and Energy announced on the 7th that the Act on the Promotion of Growth and Strengthening Competitiveness of Small and Medium Businesses has been revised and proclaimed.

The midsize business law, which expands the scope of business conversion, is expected to go into effect from July 9. Business transformation means the transformation and addition of industry.

If you quit an existing industry and run a new business (conversion), or if you reduce or maintain the size of an existing business, the proportion of the new added business has increased to more than a certain level.

The commercial law has severely restricted companies from acquiring their stocks.

However, when the Midsize Business Act is revised, midsize businesses are likely to acquire their own shares in their own name if they intend to exchange stocks with partner companies for the purpose of switching to business through strategic partnerships.

If the size of exchange shares is less than 50 percent of the total shares issued, the stock can be replaced by the board's resolution instead of approval of shareholders ` meeting.

When implementing a merger or business plan, the government will be subject to relaxed requirements than commercial law when it comes to raising objections, giving notice to shareholders ' meetings, signing a merger contract, etc.

Medium-sized businesses that want to be subject to the simplification process must be approved by the Minister of Industry and Industry by establishing a ' Business Conversion Plan ' in advance.

Approval will be based on the feasibility of project goals presented by individual businesses rather than industrial and environmental aspects.

Detailed requirements such as " size of target company (sales amount below a certain level) " and " approval procedure of business plan " will be provided under the Presidential Decree.
