지난해 인수합병(M&A)에 나선 상장사가 전년보다 감소한 것으로 나타났다. 23일 한국예탁결제원에 따르면 지난해 M&A를 완료했거나 진행한 상장사가 106개사로 전년(112개사)보다 5.4% 감소했다.

시장별로는 코스피 법인이 44곳이고 코스닥 법인은 62개사다. 사유별로는 합병이 95개사로 가장 많고 주식교환·이전(7개사), 영업 양수도(4개사) 등의 순으로 조사됐다.

작년 상장사가 예탁원을 통해 주주에게 지급한 주식매수청구대금도 1조43억원으로 지난해 1조733억원보다 6.4% 감소했다. 주식매수청구대금을 지급한 회사 수도 23개사로 전년(39개사)보다 줄었다. 주식매수청구권은 주주의 이해관계에 중대한 영향을 미치는 의안이 이사회에서 결의됐을 때 그 결의에 반대한 주주가 자신의 소유 주식을 회사가 매수하도록 요구하는 권리다.

 

코스피 시장에서는 롯데상사 등 계열사를 합병한 롯데지주가 1276억원을 지급했고 상장이 폐지된 도레이케미칼이 418억원을 내주는 등 모두 8개사가 총 1957억원을 지급했다.

코스닥 시장에서는 CJ E&M과 CJ오쇼핑이 합병하면서 CJ E&M이 3139억원을, CJ오쇼핑이 1892억원을 각각 지급했고 카카오에 흡수 합병된 카카오M은 2220억원을 내줬다. 코스닥시장의 주식매수청구대금은 총 8086억원이었다.

지난해 일반투자자 보호를 위해 일정기간 동안 보호예수를 설정해놓은 상장 주식수도 전년대비 감소했다.
지난해 보호예수 설정 상장주식은 25억3552만2000주로 전년대비 20%가 줄었다. 시장별로 보면 유가증권시장 상장주식이 6억5724만9000주로 전년대비 14.8% 감소했고, 코스닥시장 상장주식은 18억7827만3000주로 21.7% 줄었다.

 

지난해 상장주식 보호예수 설정이 전년 대비 감소한 이유는 유가증권시장의 경우 보호예수를 설정하는 사유 중 하나인 '모집(전매제한)' 부문이 전년대비 19.4% 감소한 것이 배경으로 꼽힌다.

코스닥시장은 '합병(코스닥) 사유'가 전년대비 58.2% 감소한 데에 따른 것으로 나타났다. '코스닥시장 상장규정 제22조'에 따르면 코스닥시장 상장법인이 주권비상장법인과 합병을 하는 경우 주권비상장법인의 주식 등을 보유하고 있는 최대주주등은 상장일부터 6개월간 보호예수 의무를 가진다.

 

지난해에는 이에 따라 설정된 보호예수가 감소했다는 얘기다.  보호예수한 상장주식 중 보호예수가 만료돼 반환된 주식은 26억296만3000주로 전년대비 15.7% 증가했다. 시장별로 보면 유가증권시장 상장주식이 7억6508만1000주로 전년대비 32.0% 증가했고, 코스닥시장 상장주식은 18억3788만2000주로 10.0% 늘었다.

The number of listed companies that started mergers and acquisitions decreased last year. According to the Korea Depository Payment Service on Friday, the number of listed companies that completed or processed M&A last year was 106, down 5.4 percent from 112 last year.

By market, there are 44 KOSPI companies and 62 KOSDAQ companies. By reason, 95 companies were merged, followed by stock exchange, transfer (seven) and sales volume (four).

Last year, the amount of stock purchases made by listed companies through depositories reached 1.43 trillion won, down 6.4 percent from 1.733 trillion won last year.

The number of companies that paid for stock purchases was 23, down from 39 last year. A stock purchase right is the right of a shareholder who opposes a resolution at the board of directors when a bill that has a significant impact on a shareholder's interest is resolved, requiring the company to purchase his or her own stock.
 

In the KOSPI market, eight companies paid a total of 194.8 billion won, including 127.6 billion won from Lotte Group's affiliates and 41.8 billion won from Dorai Chemical, whose listing was abolished.

With the merger of CJ E&M and CJ Oh Shoping, CJ E&M paid 313.9 billion won and CJ Oh Shoping paid 31.9 billion won.The KOSDAQ market had a total of 808.6 billion won in stock purchases.

Last year, the number of listed shares, which established the protection of Christ for a certain period of time, decreased from the previous year.

Last year, the number of pre-protection Jesus stocks fell 20 percent year-on-year to 2.2552 billion.

By market, listed stocks in the securities market fell 14.8 percent year-on-year to 667.24 million shares, and those listed on the Kosdaq fell 21.7 percent to 1.782.3 billion shares.
 

The reason for the decline in the pre-listed stock protection Jesus setting last year is a 19.4 percent decrease in the recruitment sector, one of the reasons for setting up a protective Jesus.

The KOSDAQ market is attributable to a 58.2 percent decrease in the number of units of the KOSDAQ market.

According to Article 22 of the KOSDAQ Market listing regulation, the largest shareholders holding stocks of the non-listed corporation and others are required to protect them for six months from the date of listing.
 

In other words, the number of protected Jesus Christ decreased last year. Among the rare listed stocks that were returned after the expiration of protected Jesus Christ, shares increased 15.7 percent year-on-year to 2.293 billion shares.

By market, listed stocks in the securities market rose 32.0 percent year-on-year to 658.08 million shares, while those in the KOSDAQ market rose 10.0 percent to 1.18 billion won.
