셀트리온제약이 셀트리온화학연구소와 합병한다. 합병은 흡수합병 형태로 이뤄지며 글로벌 케미컬 제품 상업화에 따른 연구개발(R&D)·생산 부문 협업 필요성이 늘어난데 따른 결정이다.

30일 M&A업계에 따르면 셀트리온제약이 지난 25일 이사회를 열고 안정적인 지속성장 기반 마련 연구개발과 생산 부문의 유기적 협업에 기초한 경영효율 극대화를 위해 자회사인 셀트리온화학연구소를 합병하기로 결의했다. 합병은 셀트리온화학연구소의 지분 100%를 보유하고 있는 셀트리온제약은 신주발행 없는 소규모 합병 방식으로 셀트리온화학연구소를 흡수하는 형태로 이뤄진다.

셀트리온제약은 국내 처방 간장약 분야 매출 1위를 기록한 고덱스 등 30여종의 다양한 케미컬의약품을 생산하고 있다. 지난 2015년 셀트리온그룹의 글로벌 케미컬의약품 시장 진출 계획에 따라 충북 청주 바이오산업단지 내에 단일제형 생산공장으로는 국내 최대 규모인 연 100억정 생산 규모의 케미컬의약품 생산공장을 준공했다.

지난해 미국 FDA cGMP 승인과 유럽 규제기관(MHRA)의 실사를 완료하는 등 세계시장 공급을 위한 막바지 노력도 기울이고 있다.
셀트리온제약은 측은 이번 합병 역시 글로벌 케미컬 프로젝트(Global Chemical Project) 제품들이 상업화 되면서 늘고 있는 R&D-생산 협업 수요에 선제적으로 대응하기 위한 조치라고 강조하고 있다.

셀트리온제약은 지난해 11월 셀트리온의 첫 케미컬의약품 ‘테믹시스’의 미국 FDA 허가 성공 및 최근 국제조달시장 공급자 선정에 힘입어 올해 다수의 글로벌 케미컬의약품 생산을 본격화 할 수 있을 것으로 예상하고 있다. 
이번 합병으로 셀트리온화학연구소의 제제연구팀, 기술개발팀, 분석연구팀 등 임직원 51명은 셀트리온제약 청주공장에서 근무하게 된다.
셀트리온제약은 인력 및 조직의 통합으로 관리 및 운영 면의 비용절감과 생산성 제고 효과 뿐 아니라 특히 제제 개발 후 상업생산을 위한 공정개발 과정에서 업무 효율성을 극대화 할 수 있을 것으로 예상하고 있다.

셀트리온제약 측은 “케미컬의약품 공정개발 과정 가운데 연구소에서 생산 부문으로의 기술 이전(Tech Transfer)에만 통상 수개월이 소요되는데 R&D와 생산부문이 밀접하게 협업함으로써 제형개발과 기술이전에 소요되는 시간을 단축할 수 있다”며 “합병을 통해 향후 예정되어있는 약 20여종의 케미컬의약품 상업화 일정을 앞당기고 성공 확률을 높일 수 있을 것”이라고 밝혔다.

Celtrion Pharmaceutical merges with the Celtrion Chemical Institute. Complications are made in the form of an absorption merger and are made due to the growing need for collaboration in R&D and production following commercialization of global chemical products.

According to M&A industries on the 30th, Celtrion Pharmaceutical held a board meeting on the 25th to prepare a stable basis for sustainable growth and maximize its management efficiency based on organic cooperation in production.

The merger involves Celtrion Pharmaceutical, which has a 100 percent stake in Celtrion Chemical Research Institute, absorbing Seltrion Chemical Research Institute in a small merger that does not issue new shares.

Celtrion Pharmaceutical produces more than 30 different types of chemical products, including Godex, which topped the list of domestic sales for prescription drugs.

In line with Celtrion Group's plans to enter the global market for chemical products in 2015, it has produced 10 billion won

It is also making last-minute efforts to supply global markets, including approving of FDA FDAMP last year and completing due diligence of European regulator (MHRA).

Celtrion Pharmaceutical said, Celtrion Pharmaceutical is expected to produce a large number of global camecals this year, thanks to the success of the U.S. FDA approval of its first Kermical drug called ' Temixis ' last November.

With the merger, 51 executives and employees will work at Seltrion Pharmaceutical's Cheongju factory.

Celtrion constraints, especially in process development for commercial production after development of the formulation, can be expected to maximize operational efficiency, as well as cost savings and productivity gains in management and operation through integration of people and organizations.
