도레이첨단소재가 자회사인 도레이케미칼과 합병한다. 도레이첨단소재는 도레이케미칼과 합병계약을 체결하고 글로벌 소재 기업으로 도약해 나갈 것이라고 24일 발표했다.
합병은 4월 1일 마무리되며 합병법인 이름은 첨단사업을 지향한다는 의미를 담아 도레이첨단소재를 사용하기로 했다. 도레이첨단소재는 양사의 사업자산과 인프라 등을 활용해 글로벌 경쟁력을 강화해 나갈 계획이다. 기존에 진행하던 양사 사업은 도레이첨단소재가 그대로 운영하면서 향후 신성장동력 사업 발굴에 적극 나설 방침이다.
도레이첨단소재 측은 합병에 대해 “급변하는 경영환경에 선제적으로 대응하기 위해 합병을 통해 일원화
된 경영체제를 이루고 신속한 의사결정으로 경영효율을 높여나갈 것”이라고 밝혔다. 연구·개발(R&D) 분야 통합으로 고부가가치 제품 및 신제품의 기술개발 역량을 확충해 제품 개발 속도를 앞당기고 고객과 시장의 니즈에 탄력적으로 대응하기 위한 일환이라는 설명이다. 양사의 기존사업은 통합법인인 도레이첨단소재가 그대로 운영하며 신성장동력 사업 발굴에도 적극적으로 나설 예정이다.
도레이첨단소재와 도레이케미칼은 1972년 설립된 제일합섬을 모태로 하고 있다. 1999년 새한그룹과 일본 도레이가 4대 6의 지분으로 합작회사 도레이새한을 설립하며 분리됐다.
도레이새한은 옛 새한그룹 지분을 도레이가 모두 인수한 뒤 2010년 도레이첨단소재로 사명을 변경했다.
도레이케미칼은 지난 2008년 웅진그룹이 워크아웃 중이던 (주)새한을 인수, 이름을 웅진케미칼로 탄생했다. 이후 2014년엔 도레이첨단소재가 웅진케미칼을 인수, 도에이케미칼로 재탄생했다. 양사는 이번에 합병계약으로 20년 만에 하나의 회사로 합쳐지게 됐다.
도레이첨단소재 측은 "양사가 보유한 사업자산과 인프라 등을 활용해 시너지를 극대화함으로써 글로벌 경쟁력을 강화할 수 있도록 노력할 계획"이라고 밝혔다.

Doray's high-tech materials will be merged with Doray Chemical, which is its subsidiary. Dorai High-Tech material announced on the 24th that it will sign a merger contract with Doray Chemical and develop itself into a global company.
The merger will be completed on April 1 and the name of the company will be used with Dorai High-Tech material, meaning that it aims to become a high-tech business. It is planning to strengthen its global competitive edge by utilizing its business assets and infrastructures.
As Dorai's advanced materials are still operating its current business, it is planning to actively seek out new growth engines in the future.Torai High-Tech Materials responded to the merger, saying, We have to integrate it through mergers to proactively respond to the rapidly changing business environment.
We will achieve a good management system and improve management efficiency by making quick decisions.
It explained that this is part of its plan to speed up product development and flexibly respond to customer and market needs by integrating R&D into high value-added products and technologies.
The two companies ` existing projects will be operated by the new entity Dorai High-Tech, and actively seek new growth engines.
Dorai High-Tech Materials and Doray Chemical are born in 1972 as the first major islands.
In 1999, Saehan Group and Torai Japan established a joint venture called Dorai Sahan with a 4 to 6 stake. After Doray took over all of Dorai's shares in the old group, Dorai changed its name to Doray's high-tech material in 2010.
Dorai Chemical was born in 2008 as Woongjin Kemikal after taking over Saehan, which was a work out group.
In 2014, high-tech material from Dorei acquired Woongjin Kemikal and was reborn as Doei Chemical.
The merger deal will combine the two companies into one company for the first time in 20 years.
