필립에셋을 모기업으로 하고 있는 항공사 에어필립의 인수합병(&A)을 통해 위기 돌파에 나섰다.

에어필립은 최근 필립에셋의 대표이사가 불법 주식거래 혐의로 구속되며 자금지원이 중단되자 구조조정과 지출을 줄이며 자구책을 마련했지만 심각한 경영난을 겪어왔다.

4일 업계에 따르면 에어필립은 에어필립은 지난달 27일 신규 투자자로부터 250억원의 투자확약서(LOC)와 500억원의 투자의향서(LOI)를 체결, 총 750억원의 투자금을 유치하게 됐다750억원 투자를 유치했다. 각각 250억원씩을 투자하는 3곳은 지분 인수를 통해 공동으로 경영권을 확보할 것으로 관측된다.

에어필립은 앞으로 신규투자 기업과 인수합병(M&A)하는 절차를 밟는다. 구체적으로 신재생 부문의 제조·유통·무역을 하는 주식회사 한중에너지네트윅스로부터 250억원의 투자 확약을 받았다. 자산운용사인 H에셋과 부동산개발회사인 M사와는 각각 250억원의 투자의향서를 체결했다. 추가로 S금융과는 신규 사업면허 발표 이후 운영자금 또는 시설자금 등을 적극적으로 지원하겠다는 투자의향서를 체결하기도 했다.

한중에너지네트웍스를 제외한 다른 투자 주체들은 익명을 요구해 구체적인 기업 이름을 공개할 수 없다는 게 에어필립 측의 설명이다.
신규투자 주체들은 50억원 규모의 운영자금을 초기 지원하고, 에어필립은 자체 유상증자를 통해 40~50억원을 마련해 총 약 90~100억원의 운영자금을 확보할 예정이다.

국토부 LCC 사업면허 발표 이후 M&A 조건이행 절차가 완료되면, 신규 투자자는 750억 원을 투자하여 경영권을 확보한다.
지분을 확보한 각 투자 주체들이 컨소시엄을 구성하는 방식으로 공동으로 경영권을 확보할 것으로 관측된다.
에어필립은 광주·전남 지역민의 잠재수요를 바탕으로 출범한 소형운송항공사로 무안국제공항을 기반으로 하고 있다는 점에서 전라남도와 무안군 등의 지원을 기대하고 있다. 오너리스크가 해소된 만큼 지역 LCC 항공사로서 새로운 출발이 가능하다는 게 이유다.

에어필립은 신규 투자자와 체결한 자금 투자확약서와 자금투입 상세계획을 증빙하는 서류 등을 국토부에 제출, 국토부의 막바지 저비용항공사(LCC) 사업면허 취득에 총력을 기울일 방침이다.

에어필립 측은 "여러 가지 악성 소문에도 불구하고 약 7천여 명의 기존주주들이 적극적으로 나서서 유상증자를 통해 운영자금을 확보하여 회사를 정상화하겠다는 의지를 보이고 있다"며 "LCC 면허 취득을 위해 광주·전남 지자체의 지원과 지지가 절실히 필요하다"고 밝혔다.

Air Phillips explained that other investors other than Korea Energy Networks can not disclose detailed names of their companies as they demand anonymity.

The new investors will initially support the operation fund worth 5 billion won, while Air Philip plans to raise 4 to 5 billion won through its own capital increase to secure about 9 to 10 billion won in operating funds.

When M&A conditions are implemented after the Ministry of Land, Infrastructure and Transport's license announcement, new investors are required to secure management rights by investing 75 billion won.

It is predicted that each investor who has secured shares will jointly secure managerial control by forming a consortium.

Air Philip is a small transport airline based on Jamjae Suyo of Gwangju and South Jeolla Province, and expects support from South Jeolla Province and the U.S. in that it is based at Muan International Airport.

The reason for this is that it is possible to start anew as a regional LCC airline since owner risks have been removed.

Air Phillips will submit financial investment guarantees with new investors and documents verifying detailed funding plans to the Ministry of Land, Infrastructure and Transport and will strive to obtain the final license for the low-cost airline business.
