창립 50주년, 사회공헌 비전 '함께 가요 미래로! Enabling People'
삼성전자는 20일 서초사옥 다목적홀에서 주주, 기관투자자, 김기남 대표이사(부회장), 김현석 대표이사(사장), 고동진 대표이사(사장) 등 1000여 명이 참석한 가운데 '제50기 정기 주주총회'를 개최했다.
이날 주주총회에서 △재무제표 승인, △이사 선임, △이사 보수한도 승인이 의결됐다.
김기남 대표이사(부회장)는 인사말을 통해 "지난해 대내외적으로 어려운 경영여건에서도 TV 13년 연속 글로벌 1위, 스마트폰 글로벌 1위, 반도체 글로벌 1위를 달성하며, 연결기준 매출 244조원, 영업이익 59조원으로 사상 최대의 실적을 기록했다"고 말했다.
또한 "대외적으로도 포천지 500대 기업 12위, 인터브랜드 브랜드 가치 6위 등 글로벌 리딩 기업의 위상을 공고히 했다"고 설명했다.
김 부회장은 "올해도 어려운 경영여건이 이어지고 있어 회사 전 분야에 걸친 근원적인 혁신을 추진할 계획"이라고 밝히며, "CE, IM사업은 혁신 제품의 지속적인 출시와 제품의 경쟁력 제고를 통해 시장 지배력을 확대하고, 부품 사업은 개발, 제조 역량을 더욱 강화해 초격차를 확보하는 등 체질개선을 통한 내실 강화를 추진하겠다"고 강조했다.
또한 "최근 급격히 성장하고 있는 AI와 5G는 신사업으로 의미있는 성과를 낼 수 있도록 집중 육성하는 한편, 앞으로 기술, 소비자, 경쟁환경 변화에 적극 대응해 미래성장을 견인할 사업기회를 선점하겠다"고 덧붙였다.
김 부회장은 주주가치 제고를 위한 정책에 대해서도 설명했다. 그는 "지난해 12월 회사가 보유한 자기주식을 모두 소각했으며, 분기 배당을 포함해 연간 9조6천억원을 배당으로 지급할 예정"이라고 밝혔다.
삼성전자는 지난해 이사회 의장과 대표이사를 분리해 이사회의 책임과 독립성을 강화했다.
또한, 외국 국적, 여성 사외이사를 선임하고 사외이사후보 추천위원회를 전원 사외이사로 구성하는 등 지배구조 선진화를 위한 정책도 시행했다.
김기남 부회장은 "올해는 삼성전자 창립 50주년을 맞는 매우 뜻깊은 해로, '함께 가요 미래로! Enabling People'의 사회공헌 비전 아래 미래인재를 육성할 수 있는 청소년 교육을 적극적으로 지원하고, 나눔과 상생을 통해 기업의 사회적 역할 구현에도 앞장서겠다"고 말했다.
그는 또 "임직원 모두가 철저한 준비와 도전을 통해 리딩 기업의 위상을 공고히 하여 주주와 사회, 임직원과 회사가 함께 발전하는데 기여하겠다"고 다짐했다.
삼성전자는 의안 상정에 앞서 DS부문장 김기남 부회장, CE부문장 김현석 사장, IM부문장 고동진 사장이 나와 각 사업부문별 경영현황에 대해 설명하고, 참석한 주주들의 질문에 답변했다.
[Focus] Samsung Electronics is going to hold regular shareholders' meetings and push for fundamental innovation
Samsung Electronics held its 50th annual shareholders' meeting at the Multipurpose Hall of the Seocho building on Tuesday, attended by more than 1,000 shareholders, institutional investors, CEO Kim Ki-nam, CEO Kim Hyun-seok and CEO Ko Dong-jin.
At the shareholders' meeting, approval of financial statements, selection of directors, and approval of the board's remuneration limit was approved.
CEO Kim Ki-nam said in a greeting message, "Even in difficult business conditions at home and abroad last year, we achieved the world's No. 1 TV, No. 1 smartphone, and No. 1 semiconductor business for 13 consecutive years, and recorded record-high performance at 244 trillion won in sales and 59 trillion won in operating profit."
It also said that it has solidified its status as a global leading company, including Fortune 500's 12th largest company and Interbrand's sixth-largest brand value.
"We plan to push for fundamental innovation across all areas of the company as business conditions continue to be difficult this year." said Vice-Chairman Kim. "CE and IM businesses will seek to strengthen their internal structure through physical improvement by expanding their market dominance through continuous release of innovative products and enhancing competitiveness of products, and by further strengthening their development and manufacturing capabilities."
"We will focus on nurturing AI and 5G, which have been growing rapidly recently, so that they can produce meaningful results with new businesses, and we will preempt opportunities to drive future growth by actively responding to changes in technology, consumers, and competitive environment."
Vice Chairman Kim also explained his policy to enhance shareholder value. Last December, the company burned all of its own shares and will pay 9.6 trillion won a year in dividends, including quarterly dividends, he said.
Last year, Samsung Electronics separated the chairman of its board of directors and its CEO, strengthening the board's responsibility and independence.
In addition, policies were implemented for the advancement of governance by appointing foreign nationals and women outside directors and forming all outside directors recommendation committees for outside directors.
"This year marks the 50th anniversary of Samsung Electronics' foundation, and it's a very meaningful year to go together and the future," said Vice Chairman Kim Ki-nam. We will actively support youth education that can nurture future talent under the vision of 'Enabling People' and take the lead in realizing corporate social roles through sharing and co-prosperity," he said.
He also vowed that "all employees will consolidate the status of leading companies through thorough preparations and challenges, thus contributing to the development of the company together with shareholders, society, executives and employees."
Prior to announcing the bill, Samsung Electronics was led by Kim Ki-nam, vice chairman of the DS division, Kim Hyun-seok, president of the CE division, and Ko Dong-jin, president of the IM division, to explain the current status of each business unit and answer questions from shareholders who attended.
