윤종규 KB금융지주 회장이 올해 전략적 인수합병(M&A)을 과감하게 실행, 주가 부양에 나선다고 밝혔다. M&A대상으로는 생명보험 분야를 꼽았다.

윤 회장의 이 같은 발언은 지난 27일 KB금융 본사에서 열린 주주총회에서 나왔다. 주주들이 저조한 주가에 대한 지적에 대한 답변이다. 주가부양을 위한 조건으로 내세운 윤 회장의 발언인 만큼 올해 KB금융의 M&A 움직임은 여느 때보다 활발하게 진행될 것이란 게 업계의 분석이다.

1일 M&A업계에 따르면 지난 27일 열린 KB금융의 주주총회는 주주들의 성토가 이어졌다. 주가 하락에 대한 불만이 주를 이뤘다. 지난 1년 사이 KB금융 주가가 35%가량 줄어든데 따른 불만이다.

윤 회장은 주총에서 이와 관련해 '폭락'이란 단어를 사용하며 주가하락에 대해 주주들에게 "송구스럽다"고 사과했다. 윤 회장이 꼽은 주가하락의 원인은 성장둔화에 따른 금융업 부실증가 우려, 금융산업 규제 강화 우려, 국민은행의 예대율 규제 우려 등이다.

그는 "최근 성장둔화에 대한 우려를 잘 알고 있고, 충분히 대비하고 있다"며 "올해 4~5%의 자산성장이 가능할 것으로 보고 있으며 충당금도 충분히 쌓아뒀다"고 강조했다. 두둑한 실탄을 바탕으로 M&A를 진행해 직접적인 주가부양을 위한 M&A에 나설 수 있다는 것이다.

윤 회장은 "올해 전략적 M&A를 과감히 실행해 나가겠다”고 말했다. 경쟁사가 오렌지라이프를 인수하는 등 생명보험 분야에서 경쟁사의 경쟁력이 더 우위에 있어 KB금융이 생명보험 분야를 보강해야 한다는 지적이 시장에서 나오고 있는 만큼 생명보험 쪽 M&A에 나서겠다는 것이다.

그는 "생보는 앞으로 기회가 많은 만큼 IFRS도입으로 생보사 매물이 나오거나, 재벌그룹사 개편 과정에서 좋은 매물이 나올 수 있다”며 “단순 확장보다는 주주이익에 도움이 되는지를 중요하게 고려해 M&A에 나서겠다”고 말했다.

신남방 시장 중심의 글로벌 시장 진출에 대한 의지도 내비쳤다. 윤 회장은 "동남아 시장 등 글로벌 시장의 수입원 다변화에도 노력하겠다"고 운을 뗐다. "특히 올해는 베트남과 인도네시아, 미얀마 사업에 있어 더 보완하고 인도 시장도 여러 가지로 검토 중에 있다"고 말했다. 이어 "자산운용업 분야에서 그룹 차원의 전략적 대응과 협업을 바탕으로 시장경쟁에서 앞서 나가겠다"고 강조했다.

윤 회장은 "계열사별로 1등 은행의 자리를 굳히고 증권·손해보험·카드 등 비은행 계열사의 경쟁력도 강화하겠다"고도 했다. 지난해 증권과 보험 등에서 수익이 나지 않아 신한금융그룹에 리딩뱅크 자리를 뺏긴 것을 의식한 발언이다.

윤 회장은 "양궁게임에 빗대어 보면 한곳(경쟁사)은 10발을 이미 다 쏜 반면 우리는 마지막 한발이 남았고, 남은 한발을 확실히 쏠 준비를 하고 있다"고 말했다. 그러면서 "은행을 중심으로 충실히 충당금을 설정했고 금융당국 정책에 발맞춘 포트폴리오 조정 등으로 올해 사업계획을 세워 올해는 주가도 부양할 수 있을 것"이라고 말했다.

KB금융은 주총을 통해 올해 목표로 계열사와 사업부문의 경쟁력 강화, 핵심인프라 혁신 및 고도화를 통한 차별적인 비즈니스 체계 구축, KB 고유의 문화와 일하는 방식 혁신, 사업영역의 지속적인 확대 등 4가지 과제를 제시했다. 올해 경영환경이 녹록치 않지만 리딩금융그룹의 경쟁력을 강화하겠다는 것이다.

한편 KB금융은 이날 주총에서 유석렬·스튜어트 솔로몬·박재하 사외이사를 재선임하고, 김경호 사외이사를 감사위원인 사외이사로 신규 선임하는 안건과 선우석호·정구환·박재하 사외이사를 감사위원으로 재선임하는 안건 등 주총에 올라온 안건을 모두 의결했다. 또 2018년 실적 기준 배당금은 주당 1920원으로 결정됐다. 지난해 당기순이익은 전년보다 줄었지만 주당 배당금은 전년과 동일한 수준으로 유지했고, 배당성향은 전년(23.2%)보다 1.6%p 상승한 24.8%를 기록했다.

According to the M&A industry on the 1st, KB Financial Group's shareholder meeting that was held on the 27th was followed by shareholders ' criticism. Dissatisfaction over the fall of stock prices has been a major cause.

This is a result of a 35 percent decrease in KB Financial shares over the past year. At the shareholders ` meeting, Yoon used the word " slump, " and apologized to shareholders for the drop in stock prices.

The reasons for the fall in stock prices are concern over the increase in the financial sector due to slow growth, the strengthening of the financial industry regulations, and concern over the regulation of the deposit rate at Kookmin Bank.

I am fully aware of the concerns over the recent slowdown in growth, and am fully prepared, " he said. Based on ample ammunition, the company can pursue M&A in order to directly boost its stock price.

We will boldly implement strategic M&A this year, " said Chairman Yoon. As KB Financial Group is pointing out that it needs to strengthen its life insurance sector because its competitors are more competitive in the life insurance sector, such as acquiring Orange Life, it is going to be an M&As in the market.

He said, " Since there are many opportunities for life insurance, life insurance companies will be offered for sale by IFRS or good sales will come out in the process of reshuffling chaebol companies, " adding, " It will be helpful for shareholders ' interests. "

It also hinted its willingness to enter global markets centered on new South Korean markets. We will also make efforts to diversify our imports sources of global markets including the Southeast Asian market, " Yoon said.

In particular, we are reviewing various aspects of the Indian market, while reinforcing our businesses in Vietnam, Indonesia and Myanmar this year.  We will stay ahead in the market competition based on group strategic responses and collaboration in asset management field.

We will solidify our position as the number one bank for each affiliate and strengthen the competitiveness of our non-bank affiliates such as securities, damage insurance and cards, " Yoon said.

He made this remark conscious of losing his position to Shinhan Financial Group as he failed to make profits from securities and insurance policies last year.

Though the management environment is not easy this year, the bank aims to strengthen the competitiveness of leading financial groups.

Meanwhile, KB Financial Group re-appointed outside directors such as Yoo Seok-ryul, Stuart Solomon, and Park Jae-ha, and newly appointed Kim Kyung-ho as outside directors of audit committee.

In addition, dividends based on performance in 2018 were set at 1920 won per share.

Although net profit decreased from last year, dividend per share remained the same as last year, and dividend inclination increased by 1.6 % to 24.8 %.
