아시아나항공의 유동성 문제가 해결, 상반기 중 매각 절차가 본격화 될 전망이다.

정부는 23일 산업경쟁력강화 장관회의를 열고 아시아나항공에 최대 1조6000억원을 지원한다는 내용의 경영정상화 추진 방안을 논의했다. 경영정상화 방안에는 유동성 문제 해결과 함께 상반기 중 매각 절차를 진행한다는 내용도 포함됐다. 채권단은 이르면 이날 아시아나 측과 이같은 내용의 재무구조개선 약정(MOU)을 다시 맺을 예정이다.

24일 M&A업계에 따르면 아시아나항공 경영정상화 추진 방안에는 '신뢰의 위기'에 빠진 아시아나항공에 시장 기대 이상의 자금 지원이 이뤄질 전망이다. 정부가 제시한 채권단의 유동성 공급액은 최대 1조6000억원으로 알려졌다. 당초 1조원 규모로 예상됐던 수준을 훌쩍 넘어 서는 수준이다.

자금 지원 규모의 확대는 여유로운 자금을 바탕으로 고객신뢰도 확보까지 고려된 포석이다.

채권단의 유동성 지원은 당장의 현금 지원과 마이너스 통장 성격인 신용한도로 나뉜다.

현금 지원의 경우 5000억원 상당의 영구채 매입으로 구현된다. 영구채는 발행회사 결정에 따라 만기를 연장할 수 있어 회계상 자본으로 인정되는 채권이다. 채권단이 영구채를 산다면 아시아나항공으로선 자본 확충 효과를 거둘 수 있다. 무엇보다 아시아나항공의 부채비율도 700%가량으로 줄일 수 있다. 당초 예상됐던 1000% 이상 부채율보다 300%가량 줄어든 만큼 매각에 있어 유리한 상황을 만들 수 있다.

마이너스 통장은 신용한도 8000억원과 Stand-by L/C 3000억원으로 나뉜다. 신용한도는 일반적인 용도이고, Stand-by L/C는 항공기 리스료 등 대외지급용도로 쓰인다. 아시아나항공은 이와 별도로 비수익 노선에 대한 구조조정 등 자구계획을 실행 중이다. 탑승률이 낮아 비행기를 띄워도 수익이 나지 않는 노선을 폐지해 수익성을 높이는 일환에서다.

아시아나항공의 매각 시점은 상반기가 될 전망이다. 정부는 올해 안에 매각계액을 체결하는 것을 목표로 세우고 있다.

채권단은 아시아나항공에 대해 즉각 실사에 착수한다는 입장이다. 실사 기간이 1~2개월임을 감안하면 입찰공고는 6월 중이 유력하다.

이후 7~8월 중 예비입찰, 우선협상대상자의 실사 등 과정을 거치면 연말께 본계약이 체결이 가능하다.

매각 방식으로는 에어부산·에어서울 등 자회사들을 묶어 파는 일괄매각 형태로 이뤄질 것으로 보인다.

아시아나항공 부채는 3조6000억원 규모로 숫자만 놓고 본다면 일부 변제, 구주 매각대금, 유상증자 및 경영권 프리미엄 등을 고려할 경우 2조원 안팎에 인수가 가능하다.

M&A업계 관계자는 "아시아나항공의 인수의 경우 항공업 특성상 일반 기업과 달리 상당한 메리트가 있다"며 "현재 인수에 대한 의사를 공식적으로 밝힌 곳은 없다"고 말했다. 다만 그는 "최근 CJ그룹, SK그룹, 한화그룹 등이 인수후보로 거론되며 있다"며 "6월 매각 시기가 결정되기 한 달 전쯤이면 인수 후보군의 윤곽 확인이 가능할 것으로 보인다"고 말했다.

The government held a meeting of ministers to enhance industrial competitiveness on Sunday and discussed ways to normalize management, saying it will provide up to 1.6 trillion won to Asiana Airlines. The measures to normalize management also included resolving liquidity problems and proceeding with the sale process during the first half of the year. The creditors plan to re-sign an agreement with Asiana to improve its financial structure as early as the same day.


According to the M&A industry on Monday, the plan to normalize Asiana Airlines' management is expected to provide more than market expectations to Asiana Airlines, which is in a "crisis of trust." The government-proposed liquidity supply by creditors is known to be up to 1.6 trillion won. The figure is well above the level originally expected to be worth 1 trillion won.


The expansion of the funding scale is a step that has been considered to secure customer confidence based on leisurely funds.


The creditors' liquidity support is divided into immediate cash support and the credit limit, which is the nature of a negative bank account.

For cash support, it will be implemented by purchasing permanent bonds worth 500 billion won. Permanent bonds are bonds that are recognized as accounting capital as they can extend maturity in accordance with the decision of the issuing company. If creditors buy permanent bonds, Asiana Airlines will be able to expand its capital. Above all, Asiana Airlines' debt ratio can also be reduced to around 700 percent. Since the debt ratio of more than 1,000 percent was initially expected, it could create a favorable situation for the sale.

The negative accounts will be divided into 800 billion won in credit limit and 300 billion won in stand-by L/C. Credit limits are for general use, and Stand-by L/C is for external payments such as aircraft leasing fees. Separately, Asiana Airlines is implementing self-rescue plans, including restructuring of non-profit routes. The move is part of efforts to boost profitability by abolishing routes that do not generate profits even if flights are flown due to low occupancy rates.


The timing of the sale of Asiana Airlines is expected to be in the first half of the year. The government aims to seal the sale account within this year.


Creditors say they will immediately begin due diligence on Asiana Airlines. Considering that the due diligence period is one to two months, it is likely that the bidding will be announced in June.

Afterwards, the main contract can be signed at the end of the year if it goes through preliminary bidding and due diligence by the preferred bidder between July and August.

It is likely that the sale method will be made in the form of a package sale that will combine its subsidiaries such as Air Busan and Air Seoul.

Asiana Airlines' debts amount to 3.6 trillion won, and if you take into account some reimbursement, proceeds from the sale of its old shares, capital increase and management premium, it can be acquired at around 2 trillion won.


"As for Asiana Airlines, unlike other companies in the airline industry, there is a significant number of Merits," an M&A industry source said. "No one has officially expressed their intention to buy Asiana Airlines." "CJ Group, SK Group and Hanwha Group are being mentioned as potential candidates for the acquisition," he said. "It is expected that the group of potential bidders will be able to confirm the outline within a month before the date of the sale is decided."
