KB손해보험이 베트남 내 영업 확대를 위해 추진하던 현지 3위 보험사 바오민보험 지분을 인수 계획을 철회했다.

3일 M&A업계에 따르면 KB손해보험은 그동안 베트남 바오민보험의 지분 17% 이상을 인수해 2대 주주로 올라설 계획이었지만 최근 관련 계획을 백지화 했다. 인수조건이 맞지 않았기 때문이다.

M&A업계 한 관계자는 "KB손해보험의 계획 철회는 바오민보험과 인수 조건을 두고 이견을 좁히지 못한 것이 원인으로 꼽힌다"며 "다른 매물을 살피며 베트남 내 영업 강화 방안을 마련할 계획인 것으로 알고 있다"고 말했다.

KB손해보험은 베트남 보험시장에 대한 관심을 보여왔다.

KB손해보험은 지난해 중순부터 1994년에 설립된 바오민보험의 민영화 과정에서 나오는 일부 지분을 인수해 현지 영업 확대에 나선다는 계획을 추진해왔다. 바오민보험의 베트남 시장점유율은 8.2% 수준으로 높지 않지만 건강보험, 자동차보험, 해양보험, 재보험 상품 등을 취급하는 등 사업포트폴리오에 주목했던 것으로 보인다.

포화상태인 국내 보험시장과 달리 베트남 시장은 매년 급성장세를 보이고 있어 새로운 수익처 확대에 대한 기대감이 높은 점도 한몫 거들었다.

베트남 보험산업은 보험밀도 및 보험침투도는 상대적으로 낮은 수준이나, 규제불확실성이 줄면서 성장률 또한 매년 증가하고 있다. 베트남 생명보험 및 손해보험시장 규모는 우리나라의 2.0%, 2.4%에 불과하지만 연 평균 보험료 실질성장률이 15.%, 7.3%로 높은 수준으로 매년 가파른 성장세를 보이고 있다.

국내 보험사들은 베트남 진출 이후 현지 시장 성장세에 힘입어 상당한 성과도 거뒀다. 한화생명의 경우 2009년 국내 생명보험사 중 최초로 베트남 보험시장에 진출, 2009년 영업개시 초기 450명에 불과했던 보험설계사 수를 1만4319명까지 확대했다. 계약실적은 영업 개시 첫 해인 2009년 410억동(VND)에서 2018년 말 8715억동으로 성장했다. 수입보험료도 322억동에서 2만1334억동으로 성장했다.

손해보험업계의 경우 성장가능성은 더욱 높다. 베트남 손해보험 시장은 소득 증가 및 민영 보험 증가 등으로 상해보험 및 자동차보험의 수요 전망이 밝다. 현재 베트남 국영기업 5개사가 시장점유율 60% 이상을 점하고 있다.

국내 손해보험사들은 이 같은 점에 주목, 베트남 현지법인 지분 인수를 통해 현지 시장 공략을 가속화하고 있다. 새로운 수익처 확대 마련이란 신성장동력 마련이 가능하기 때문이다. KB손해보험이 바오민보험 지분 인수를 계획했던 이유이기도 하다.

실제 현대해상은 지난해 12월 베트남 15위 비엔틴은행보험의 지분을 인수해 2대 주주에 올랐고, 삼성화재는 2017년에 베트남 5위 보험사인 페트롤리멕스보험 지분 20%를 인수했다. DB손해보험도 2015년에 베트남 5위권 PTI 지분 37.32%를 인수해 1대 주주에 오른 바 있다.

KB손해보험은 바오민보험의 지분 인수 계획은 철회 했지만 새로운 매물을 찾아 베트남 시장 진출에 도전할 것으로 알려졌다.

M&A업계 한 관계자는 "KB손해보험의 바오민보험 지분 인수 계획이 철회됐다고 해서 진출 가능성이 사리진 것은 아니다"며 "베트남 진출은 모 기업인 KB금융지주가 베트남시장 공략에 공을 들이고 있는 최근 경영전략과 맞물려 있는 만큼 바오민보험이 아닌 다른 보험사 관련 매물을 살펴보고 있는 것으로 알고 있다"고 말했다.

KB Insurance has withdrawn its plan to acquire a stake in Baomin Insurance Co., the country's third-largest insurer that was seeking to expand its operations in Vietnam.


According to the M&A industry on Thursday, KB Insurance had planned to acquire more than 17 percent of Vietnam's Baomin Insurance Co. to become the second-largest shareholder, but recently scrapped related plans. This is because the terms of the acquisition were not met.


"The withdrawal of KB Insurance's plan is attributable to the failure to narrow differences over the terms of the purchase with Baomin Insurance," an M&A industry source said. "We understand that the company plans to come up with measures to strengthen its operations in Vietnam by examining other purchases."


KB Insurance has shown interest in Vietnam's insurance market.

Since mid last year, KB Insurance has been pushing for a plan to expand its operations there by acquiring some shares from the privatization process of Baomin Insurance, which was established in 1994. Baomin Insurance's market share in Vietnam is not high at around 8.2 percent, but it is believed to have paid attention to its business portfolio by handling health insurance, auto insurance, marine insurance and reinsurance products.

Unlike the saturated local insurance market, the Vietnamese market has been growing rapidly every year, which also contributed to high expectations of expanding new profit sources.

Vietnam's insurance industry is relatively low in insurance density and insurance penetration, but its growth rate is also increasing every year with less regulatory uncertainty. The size of Vietnam's life insurance and non-life insurance market is only 2.0 percent and 2.4 percent of Korea's, but the average annual real growth rate of insurance premiums is high at 15. percent and 7.3 percent, showing rapid growth every year.

South Korean insurers have also achieved considerable results on the back of growth in the local market since their entry into Vietnam. Hanwha Life Insurance became the first Korean life insurer to enter Vietnam's insurance market in 2009 and expanded the number of insurance planners to 14,319 from just 450 in the early stages of its business launch in 2009. Its contract performance grew from 41 billion VND (VND) in 2009 to 871.5 billion won at the end of 2018. Imported insurance premiums also grew from 32.2 billion won to 21,33.4 billion won.

In the case of the non-life insurance industry, the growth potential is even higher. Vietnam's loss insurance market has a bright outlook for demand for injury and auto insurance due to increased income and private insurance. Currently, five Vietnamese state-owned companies hold more than 60 percent of the market.


Local non-life insurers are accelerating their efforts to tap into the local market by acquiring stakes in a Vietnamese company. This is because it is possible to prepare new growth engines for new profit sources. This is also why KB Insurance planned to acquire Baomin Insurance's stake.


In fact, Hyundai Marine became the second-largest shareholder by acquiring a stake in Vietnam's 15th-largest Vientin Bank Insurance in December last year, while Samsung Fire & Marine Insurance acquired a 20 percent stake in Petrolimex Insurance, Vietnam's fifth-largest insurer, in 2017. DB Damage Insurance also became the top shareholder in 2015 by acquiring a 37.32 percent stake in Vietnam's fifth-largest PTI.

KB Insurance has withdrawn its plan to acquire Baomin Insurance's stake, but is expected to seek a new sale and try to enter the Vietnamese market.

"The withdrawal of KB Insurance's plan to acquire Baomin Insurance's stake does not make any sense," an M&A industry source said. "Since the entry into Vietnam is in line with the recent management strategy of KB Financial Group, which is making efforts to tap into the Vietnamese market, we understand that it is looking at other insurance companies than Baomin Insurance."
