롯데카드와 롯데손해보험이 국내 토종 사모펀드(PEF)의 품에 안겼다. 롯데카드·손보 인수전에 참여했던 하나금융과 우리금융 등은 자금동원능력 등이 우수함에도 인수에 실패했다.


7일 M&A업계에 따르면 롯데그룹은 지난 3일 롯데카드 매각을 위한 우선협상대상자로 한앤컴퍼니를, 롯데손보의 우선협상대상자로 JKL파트너스를 각각 선정, 발표했다.

우선협상대상자로 선정된 양사는 모두 국내 토종 PEF다. 앞서 지난달 진행된 롯데카드 매각 본입찰에 하나금융지주, MBK파트너스-우리은행 컨소시엄, 한앤컴퍼니가 롯데손보에는 MBK파트너스, 한앤컴퍼니, JKL파트너스 등이 참여했다.


롯데카드 인수전에 하나금융과 MBK파트너스-우리은행 컨소시엄이 뛰어 들면서 한때 유력한 후보군으로 꼽히기도 했지만 결국 사모펀드가 높은 가격을 써 내면서 우선협상대상자로 선정됐다. 한앤컴퍼니는 롯데카드 지분 80%를 1조4000억원대에 인수하는 조건으로 입찰가를 제출한 것으로 전해졌다. 롯데손보의 지분 58.5%를 인수하는 JKL파트너스의 입찰가는 4000억원 수준으로 알려졌다.


롯데그룹은 롯데카드, 롯데손보 우선협상대상자인 한앤컴퍼니, JKL파트너스와 오는 13일까지 본계약을 체결할 계획이다. 본계약이 끝나면 향후 금융당국의 대주주 심사를 거쳐 최종 매각은 이르면 7~8월에는 마무리될 것으로 예상된다. 현행 공정거래법에 따르면 금산분리 원칙에 따라 일반 지주사는 금융 계열사 주식을 보유할 수 없다. 롯데그룹은 지주사 설립 2년 이내인 오는 10월까지 금융 계열사를 매각해야 한다.


PEF가 롯데카드와 롯데손보를 품을수 있었던 직접적인 원인으로는 고용안전성 등을 꼽을 수 있다. 롯데그룹은 단순 가격이 아닌 고용보장 등의 여러 사항을 주요 인수 심사 사안으로 다뤘다. 롯데그룹 한 관계자는 "우선협상대상자 선정에 있어서 입찰가격 뿐만 아니라 다양한 비가격적 요소들을 종합적으로 고려했다"며 "임직원 고용보장, 인수 이후 시너지와 성장성, 매수자의 경영 역량, 롯데그룹과의 협력 방안 등을 다각도로 평가해 선정한 것으로 알고 있다"고 말했다.


매각 후에도 잔여 지분을 보유하는 만큼 문제가 될 소지를 최소화 해야 한다는 그룹 경영진의 입김이 작용한 것으로 보인다. 그도 그럴 것이 롯데카드의 경우 롯데그룹 유통계열사 간의 다양한 제휴 관계도 계속 이어간야 하고, 롯데손보는 잔여 지분을 보유하지는 않지만 계속 협업 관계를 유지해 나가야 하기 때문이다.


특히 향후 롯데카드와 손해보험이 M&A 시장에 나올 것을 대비한 게 아니냐는 말도 들린다.
PEF의 특성상 수익확대 차원에서 수년 내 해당 업체의 매각에 나설 경우 롯데그룹 차원에서 재인수에 나설 경우 우위를 점하기 위한 일환이라는 것이다. 실제 롯데그룹은 이번 매각에 있어 고용승계 등을 중점적으로 살피며 내부 직원 챙기기도 함께 진행했다.


M&A업계 한 관계자는 "PEF들은 그동안 금융사를 인수, 재매각을 통해 상당한 차액을 거둬온 만큼 롯데카드와 롯데손해보험도 비슷한 전처를 밟을 가능성이 높다"며 "롯데그룹 입장에선 그룹 계열사와 시너지 효과가 높은 계열사들이라는 점에서 향후 매각에 나온다면 공정거래법 완화 등의 주변 상황에 따라 재인수에 나설 가능성도 배제할 순 없어 보인다"고 말했다.

Lotte Card Co. and Lotte Insurance Co. were placed in the arms of a local private equity fund. Hana Financial Group and Woori Financial Group, which participated in the bidding for Lotte Card and Sonbo, failed to acquire the company despite their superior ability to mobilize funds.



According to M&A industries on the 7th, Lotte Group selected Han & Company as the preferred bidder for the sale of Lotte Card and JKL Partners as the preferred bidder for Lotte Card on the 3rd.


Both companies, which were selected as preferred bidders, are indigenous PEFs. Previously, Hana Financial Group, MBK Partners-Uri Bank Consortium and Han & Company participated in the main bidding for the sale of Lotte Card, which took place last month, with MBK Partners, Han & Company and JKL Partners in Lotte Sonbo.



Hana Financial Group Inc. and MBK Partners-Uri Bank consortium jumped into the bidding for Lotte Card, once considered a strong candidate, but was eventually selected as the preferred bidder as private equity funds paid high prices. Han & Company is said to have submitted a bid on condition that it will buy an 80 percent stake in Lotte Card for around 1.4 trillion won. JKL Partners, which takes over a 58.5 percent stake in Lotte Sonbo, is known to have a bid of around 400 billion won.



Lotte Group plans to sign the main contract by July 13 with Lotte Card, Lotte Sonbo preferred bidders Han & Company and JKL Partners. When the main contract is completed, the final sale is expected to be completed as early as July and August after the financial authorities review the majority shareholder's shares. Under the current fair trade law, ordinary holding companies are not allowed to hold shares in financial affiliates under the principle of separation of gold and silver. Lotte Group is required to sell its financial affiliates by October, within two years of the establishment of the holding company.



Employment safety and other reasons why PEFs were able to carry Lotte Card and Lotte Sonbo are cited. Lotte Group has dealt with a number of issues such as job security, not just price, as major acquisition screening issues. "We took into account not only the bidding price but also various non-price factors in selecting the preferred bidder," a Lotte Group official said. "We understand that we selected various factors including employee employment guarantees, synergies and growth after the acquisition, the ability of the buyer to manage the company, and cooperation with Lotte Group."



The group's management seems to have been under pressure to minimize the potential for problems as it holds the remaining stake even after the sale. He will do so, too, because Lotte Card should continue to have various partnerships between Lotte Group's distribution affiliates, and Lotte Card should continue to maintain a cooperative relationship, although it does not have any remaining shares.



In particular, some say that Lotte Card and loss insurance are preparing for the future launch of the M&A market.
Given the nature of the PEF, the move is aimed at gaining an upper hand if the company is to be sold by Lotte Group within a few years to expand its profits. In fact, Lotte Group focused on job succession and took care of its employees.



"Since PEFs have collected significant profits from acquiring and reselling financial companies, it is highly likely that Lotte Card and Lotte Insurance will follow similar externally." said an M&A industry source. "Since they are affiliates of Lotte Group that have high synergy effects with the group's affiliates, if they are to be sold in the future, it will not be ruled out that the possibility of taking over again depending on circumstances such as easing the fair trade law."
