아시아나항공의 주요 인수 후보로 꼽히던 한화그룹이 아시아나항공 인수설에 대해 선긋기에 나섰다. 주요 계열사들은 실적발표와 함께 "아시아나항공 인수를 검토한 적도 없다"고 공개적으로 밝혔다. 또 "향후 인수 계획도 없다"고도 밝힌 곳도 있다.

증권가 안팎에선 그동안 한화에어로스페이스를 거느리고 있는 한화그룹이 항공 산업 수직계열화와 시너지 확대 차원에서 아시아나항공 인수에 나설 가능성이 높다고 전망해왔다. 특히 한화그룹이 롯데카드 인수전에 불참한 데 이어 면세점 사업에서도 철수하면서 아시아나항공 인수를 염두에 둔 것이 아니냐는 해석도 나왔다.

SK그룹, 애경그룹을 비롯해 한화그룹 등 주요 인수 후보기업들이 아시아나항공 인수에 부정적인 견해를 밝히고 있어 매각 작업이 장기화할 가능성이 높다는 게 업계의 평가다.

10일 M&A업계에 따르면 한화그룹의 계열사 중 아시아나항공의 유력 인수 계열사로 꼽혔던 한화에어로스페이스가 1분기 실적발표와 함께 '아시아나항공 M&A는 없다"고 밝혔다.

신현우 한화에어로스페이스 대표이사는 아시아나항공 인수설에 대해 "항공기 엔진, 기계시스템 등 항공 제조업과 업의 본질이 상이하며 시너지효과가 크지 않을 것이라 판단돼 인수를 생각해본 적 없으며 인수 계획이 전혀 없다"고 말했다. M&A 대신 내실경영에 집중하겠다는 것이다.

한화에어로스페이스는 올해 1분기 영업손실이 58억원으로 전년 동기 대비 적자 규모가 축소됐다. 지난해 1분기 손실 규모 335억원 대비 큰 폭으로 줄었다. 매출은 전년 동기 대비 27.6%가 늘어난 9548억원을 기록했다.

매출과 영업이익 개선은 방산부문의 안정적 매출 성장 및 수출 증가, 민수사업의 선전, 사업 인수 효과에 따른 결과라는 게 한화에어로스페이스 측의 설명이다.

사업 부문 별로 살펴보면 항공 분야에서 글로벌 엔진 제조사로부터 수주가 증가하면서 항공기계사업 인수 효과 등으로 매출이 늘었다. 방산 분야에서는 한화디펜스의 K9 자주포 인도 수출이 본격화되면서 전년 대비 매출이 크게 늘었다. 한화시스템도 합병 효과와 기존사업의 선전으로 매출과 영업이익이 모두 증가했다.

민수 부문에서 한화테크윈은 미국 시장의 기업간거래(B2B) 선전으로 매출이 증가하고, 영업이익은 흑자 전환했다. 파워시스템은 중국 시장에서 선전하면서 매출과 영업이익이 전년 대비 늘었다.

한화그룹의 핵심 계열사인 한화케미칼도 1분기 실적 발표 콘퍼런스콜에서 "아시아나항공 인수를 검토하고 있지 않다"고 밝혔다. 특히 향후 인수 계획도 없다고 강조했다. 영업이익이 전년 동기 대비 크게 줄어든 상황에서 무리하게 공격경영에 나서지 않겠다는 의지가 반영 된 것 같다는 게 M&A업계의 평가다.

실제 한화케미칼은 수요 부진 등의 영향으로 전년 동기보다 영업이익이 절반 가까이 줄었다. 다만 태양광 사업의 선방 등에 힘입어 전분기와 비교해 흑자 전환했다.

한화케미칼은 올해 1분기 연결 기준으로 매출액 2조2362억원, 영업이익 983억원의 실적을 거뒀다. 매출액은 전년 동기보다 7.71% 늘었지만, 영업이익은 42.84% 감소했다. 전 분기와 비교하면 매출은 7.12% 줄었고 영업이익은 흑자 전환했다.

사업별로 보면 먼저 기초 소재 부문은 폴리에틸렌(PE)과 폴리염화비닐(PVC)이 유가 하락에 따라 원가가 안정화했고, 염소·가성소다(CA)는 판매량이 증가했다고 회사는 설명했다. 반면 톨루엔디이소시아네이트(TDI)와 폴리실리콘은 가격이 약세를 보이며 영업손실이 이어졌다.

주요계열사와 함께 한화그룹 측도 "아시아나항공 인수를 검토한 바 없다"고 일축했다. 면세점 사업 철수 이후 아시아나항공 인수설이 커지고 있지만 진짜 이유는 1000억원 이상 누적적자에 따른 결정이라는 것이다.

M&A업계는 "한화그룹이 아시아나항공 M&A와 관련해 선긋기에 나선 만큼 주요 인수후보군으로 꼽힌 대부분이 부정하고 있는 형국"이라며 "“아시아나항공 인수와 운영에는 워낙 많은 자금이 들어 인수업체에 대한 출자 및 자금 지원 등의 메리트 없이는 누구도 쉽게 뛰어들 수 없는 만큼 연내 매각 자체가 어려워 질 수 있다"고 말했다.

Hanwha Group, which had been considered a major candidate for Asiana Airlines' takeover, has started to make a fresh decision on the alleged takeover of Asiana Airlines. Along with the earnings announcement, major affiliates publicly said they have never considered acquiring Asiana Airlines. Some also said that they have no future plans to acquire the company.

Stock market insiders and outsiders have predicted that Hanwha Group, which has Hanwha Airspace under its wing, is likely to take over Asiana Airlines in a bid to expand its vertical line-up of the aviation industry and synergy. In particular, some analysts said that Hanwha Group was considering acquiring Asiana Airlines as it withdrew from the duty-free business following its absence from the bidding for Lotte Card.

Industry watchers say the sale process is likely to be prolonged as major prospective buyers, including SK Group, Aekyung Group and Hanwha Group, express negative views on the Asiana Airlines takeover.

According to the M&A industry on the 9th, Hanwha Airspace, which was considered one of the leading affiliates of Asiana Airlines among Hanwha Group, announced that it did not have Asiana Airlines M&A with its first-quarter earnings announcement.

Shin Hyun-woo, CEO of Hanwha Aerospace, said about the acquisition of Asiana Airlines, "As the nature of the manufacturing and business of aviation such as aircraft engines and machinery systems are different and the synergy effect is not expected, I have never thought about the acquisition and I have no plan to buy it at all." Instead of M&A, the company intends to focus on internal management.

Hanwha AirSpace saw its operating loss shrink to 5.8 billion won in the first quarter of this year from a year earlier. Compared to amount of loss of $33.5 billion (33.5 billion KRW) in first quarter of last year. Sales rose 27.6 percent on-year to 954.8 billion won over the cited period.

Hanwha Airspace explains that the improvement in sales and operating profit is a result of stable sales growth and export growth in the defense sector, promotion of the private water project and the effect of acquiring the business.

According to each business sector, sales increased due to acquisition of aircraft business as orders from global engine manufacturers increased in aviation. In the defense sector, sales of K9 self-propelled howitzers have increased significantly compared to the previous year as Hanwha Dipence's exports to India began to take effect. Hanwha System also saw both sales and operating profit rise due to the merger effect and the promotion of its existing projects.

In the private sector, Hanwha Techwin saw its sales increase due to B2B (Business Inter-Business Transaction) propaganda in the U.S. market, and its operating profit turned to surplus. Power System's sales and operating profit increased compared to the previous year as it did well in the Chinese market.

Hanwha Chemical, a key affiliate of Hanwha Group, also said in a conference call to announce its first-quarter earnings that it is not considering acquiring Asiana Airlines. In particular, he stressed that he has no future plans to acquire the company. M&A industries believe that Samsung Electronics' intention to not go too far in offensive management seems to be reflected in its intention not to take on aggressive management at a time when its operating profit has decreased significantly from a year earlier.

In fact, Hanwha Chemical's operating profit almost halved from a year earlier due to weak demand. However, it turned to surplus compared with the previous quarter thanks to the advance in the solar energy business.

Hanwha Chemical earned 2.236 trillion won in sales and 98.3 billion won in operating profit on a consolidated basis in the first quarter of this year. Sales rose 7.71 percent from a year earlier, but operating profit fell 42.84 percent. Compared with the previous quarter, sales dropped 7.12% and operating profit turned into surplus.

By business, the basic materials sector first stabilized costs with polyethylene (PE) and polyvinyl chloride (PVC) falling oil prices, while chlorine and plastic soda (CA) sales rose, the company explained. On the other hand, Toluendiisocyanate and polysilicon saw their prices weaken, leading to operating losses.

Along with the major affiliates, Hanwha Group also dismissed the move, saying it has never considered acquiring Asiana Airlines. Rumors of Asiana Airlines' acquisition have been growing since the withdrawal of the duty-free business, but the real reason is that the decision was based on a cumulative loss of more than 100 billion won.

"As Hanwha Group is making a good choice regarding Asiana Airlines M&A, most of them are in denial," M&A industry sources said. "As acquisition and operation of Asiana Airlines takes so much money, nobody can easily jump in without Merit such as investment and financial support for the acquisition company, the sale itself could be difficult."
