넥슨 매각을 위한 본입찰이 연기됐다. 본입찰 시기는 이달 말이 될 것으로 보인다.

15일 M&A업계에 따르면 15일(현지시간) 미국에서 진행될 것으로 예정됐던 김정주 회장의 NXC 지분 매각 본입찰이 이달 말로 미뤄졌다.

매각주관사인 UBS와 도이치증권과 모건스탠리는 적격인수후보에 오른 인수 후보자에게 본입찰 일정을 연기한다고 통보한 것으로 전해졌다. 앞서 적격인수후보로 선정된 곳은 카카오, 중국 게임사 텐센트, 국내 사모펀드 MBK파트너스, 글로벌 사모펀드 콜버그크래비스로버츠(KKR), 베인캐피털 등이다.

넥슨의 매각 본입찰 연기는 이번이 두 번째다. 이미 지난달 중순에서 이달 15일로 늦췄고, 또다시 일부 인수후보자가 일정 연기를 요청했다.

인수자 측의 컨소시엄 구성이나 조건 협의가 명확히 이뤄지지 않은 만큼 협상 시간을 고려한 것으로 보인다. 현재 넥슨과 NXC 측은 매각 일정에 대해 언급을 일체 삼가고 있다.

넥슨 매각이 연기된 배경으로는 10조원에 달하는 매각 추정가가 부담으로 작용한 듯 보인다.

실제 매물로 나온 김 회장 등 특수관계인의 NXC 지분은 98.64%로 업계 추정가는 최소 10조원 가량이다. 그간 게임업계에서는 카카오, 텐센트, 넷마블, 사모펀드 등이 컨소시엄 형태로 인수에 나설 것으로 거론됐지만 본입찰 직전까지 컨소시엄이 확정되지 않았다.

NXC가 보유하고 있는 회사 중 넥슨을 제외한 코빗·비트스탬프(가상화폐 거래소), 스토케(프리미엄 유모차 브랜드) 등은 수익성이 뚜렷하지 않은 상황이다. 넥슨은 지난해 연매출 2조5000억 원, 영업이익 9800억 원을 올렸지만 매출의 절반 이상을 ‘던전앤파이터’의 중국 수입에 의존하고 있다.

넷마블이 본입찰 참여에 적극성을 보인 것도 연기된 요인 중 하나로 꼽힌다. 넷마블은 최근 MBK파트너스와 손잡고 넥슨 인수에 뛰어들기 위한 움직임을 보인 바 있다.

산된 바 있다. 권영식 넷마블 대표가 넥슨 인수전 참여를 공식화했을 정도로 적극적이었다. 관건은 넷마블의 자금조달 능력이다. 넷마블은 넥슨 인수를 함께할 재무적투자자(FI)를 물색 중인 것으로 전해졌다.

넥슨을 인수하려면 최대 15조원에 달하는 자금이 필요할 것으로 업계는 추산하고 있다. 지주사 NXC이 보유한 넥슨 지분(47.98%) 가치만 6조∼7조원으로 평가된다.

일단 현재까지 가장 유력한 넥슨 인수 후보로는 텐센트 컨소시엄과 카카오 컨소시엄을 꼽을 수 있다.

텐센트는 전문가들이 보는 가장 유력한 후보다. 충분한 자금력에 게임에 대한 이해도도 높고 매년 지불하는 넥슨의 ‘던전앤파이터’ 퍼블리싱 비용 1조원을 아낄 수 있어 명분도 분명하다. 카카오의 경우 초반 매각에 욕심이 없어 보인다는 말이 돌 정도로 조용했지만 일찍이 컨소시엄을 준비하는 물밑으로는 적극적으로 움직이는 것으로 알려졌다.

M&A업계 관계자는 "넥슨은 글로벌 10위권 내의 게임사로 몸값도 10조원에 달해 인수 후보 기업들이 공격적으로 접근하기는 쉽지 않을 것"이라며 "이달 말로 본입찰이 연기됐지만 지난번에 이어 두 차례 연기된 만큼 연내 매각 자체가 힘들 수도 있다"고 말했다.

The main bid for the sale of Nexon has been postponed. The timing of the main bid is expected to be later this month.


According to the M&A industry on Wednesday, the main bidding for the stake sale of Chairman Kim Jung-joo, who was scheduled to take place in the U.S. on Thursday, has been postponed until the end of this month.


UBS, Deutsche Securities Co. and Morgan Stanley, which are the main bidders for the sale, reportedly notified the prospective buyers that they will postpone the main bidding. Previously, Kakao, Chinese game company Tencent, local private equity fund MBK Partners, global private equity fund Colberg Cravis Roberts, and Bain Capital were selected as eligible bidders.

This is Nexon's second postponement of the sale's main bid. It has already been delayed from the middle of last month to the 15th of this month, and some candidates for the acquisition have again asked for a delay in the schedule.

Since the buyer's composition of the consortium or consultations on terms have not been made clearly, it seems that he took into account the timing of the negotiations. Currently, Nexon and NXC are refusing to comment on the sale schedule.

Behind the delay in the sale of Nexon, the estimated 10 trillion won sale seems to have been a burden.

The NXC shares of Chairman Kim and other related parties, which were actually sold, are 98.64 percent, with an estimated industry value of at least 10 trillion won. Until now, Kakao, Tencent, Netmarble and private equity funds were mentioned as consortiums, but the consortium was not confirmed until just before the main bidding.

Among the companies that NXC owns, Kovit, BitStamp (Virtual Currency Exchange), and Stoke (Premium stroller brand), excluding Nexon, are not clearly profitable. Nexon earned 2.5 trillion won in annual sales and 980 billion won in operating profit last year, but relies on Chinese imports of "Dungeon & Fighter" for more than half of its sales.

Netmarble's active participation in the main bidding is also considered one of the factors behind the delay. Netmarble recently joined hands with MBK Partners to jump into the takeover of Nexon.

Netmarble CEO Kwon Young-sik was so active that he made it official to participate in Nexon's takeover bid. The key is Netmarble's ability to finance the company. Netmarble is said to be looking for a financial investor (FI) who will share the acquisition of Nexon.

It will take up to 15 trillion won worth of funds to acquire Nexon, the industry estimates. The value of Nexon's shares (47.98 percent) held by its holding company NXC is estimated to be between $6 trillion and 7 trillion won.

For now, Tencent's consortium and Kakao's consortium are among the most likely candidates to acquire Nexon so far.

Tencent is the strongest candidate that experts see. The justification is also clear, as he has a high understanding of games with sufficient funding and can save 1 trillion won in Nexon's annual "Dungeon & Fighter" publishing costs. In the case of Kakao, it was reportedly quiet enough to say that it did not seem greedy for the initial sale, but it is known to be actively moving behind the scenes of preparing for the consortium earlier.

"Nexon is one of the top 10 players in the global market, and it will be difficult for companies to aggressively approach the company," an M&A industry source said. "Although it was postponed until the end of this month, it may be difficult to sell the company by the end of this year since it has been postponed two times since the last time."
