LG전자의 수(水)처리 자회사 매각이 본격화된다. 경쟁입찰 방식으로 진행, 본입찰은 6월말 진행될 것으로 알려졌다.
LG전자는 올해초부터 수처리 관리 운영회사인 하이엔텍과 환경시설 및 시공회사 LG히타치워터솔류션 매각을 추진해왔다.

매각 형태는 하이엔텍 지분 100%와 LG히타치워터솔루션 지분 51%을 처리하는 형태가 유력하다. 엘지히타치워터솔루션의 2대 주주인 일본 히타치의 지분 49%도 매각 대상에 포함된다.


수처리 자회사 매각은 비주력 사업 정리일환에서 이뤄졌다. LG히타치워터솔루션과 하이엔텍은 과거 LG전자가 ‘수처리’를 먹거리로 삼으며 자회사로 편입된 곳이다. LG히타치워터솔루션은 일본 히타치사와 2012년 합작해 설립했으며 LG전자가 51% 지분을 가지고 있다. 하이엔텍은 2011년 대우건설로부터 인수해 100% 지분을 가지고 있다.

LG히타치워터솔루션은 지난해 매출 4177억원과 영업이익 368억원을, 하이엔텍은 1554억원과 102억원을 기록했다.
16일 M&A업계에 따르면 LG전자는 매각주관사로 뱅크오브아메리카를 선정, 최근 예비입찰을 통해 적격인수후보를 선정했다. 적격인수후보로는 외국계 사모펀드(PEF) 스탠다드차타드프라이빗에쿼티(SC PE), 모건스탠리프라이빗에쿼티(PE)와 코스닥 상장사인 부방, 글로벌 1위 수처리업체 베올리아 등 4곳이다.

예비입찰에는 10여개의 업체가 참여했던 것으로 전해진다. 적격인수후보로 선정된 4곳은 한달가량 예비실사를 진행하는 만큼 본입찰은 6월말 진행될 것으로 보인다.


일단 LG전자의 수처리 자회사 인수에 가장 큰 관심을 보이고 있는 곳은 SC PE다. 보유하고 있는 수처리회사인 환경관리주식화사의 규모를 키우기 위한 일환에서다. SC PE는 2016년 코오롱으로부터 환경관리주식회사를 인수한 사업규모를 키우고 있다.


올해 초 호주계 PEF인 맥쿼리로부터 인수한 더블유아이케이그린을 포함해 총 6개 유사업체를 인수한 것이 대표적이다. 국내 3위 수처리 회사인 하이엔텍을 인수할 경우 40% 이상의 국내 시장점유율을 기록해 2위인 TSK워터와 격차를 벌일 수 있다.


쿠첸의 모회사로 유명한 부방도 LG전자의 수처리 자회사 인수 유력 후보 중 하나다. 부방은 오너일가가 지분을 보유한 테크로스를 통해 선박의 균형을 맞추기 위해 공급하는 평형수처리사업을 벌이고 있다. 하이엔텍과 엘지히타치워터솔루션을 인수할 경우 육상 수처리까지 진출이 가능해 사업 시너지효과를 예상된다.


모건스탠리PE는 하이엔텍을 통해 안정적 수익 확보가 가능한 점에서 인수전에 참여한 것으로 알려졌다. 하이엔텍은 공장 폐수나 하수를 정화하는 수처리시설을 운영·관리하는 회사다. LG그룹 계여사들과 수처리 관련 장기 계약을 맺고 있는 만큼 안정적인 실적 확보와 함께 추가 인수합병(M&A)을 통한 수익확대까지 가능하다는 점에 주목하고 있다.


M&A업계는 하이엔텍 지분 100%와 LG히타치워터솔루션 지분 51%의 예상 매각금액을 5000억원 선으로 추정하고 있다. 다만 매각금액 규모는 유동적이다. 해당 자회사에 대한 LG그룹의 의존도가 높아 LG전자가 일부 지분을 남기는 방안도 고려하고 있기 때문이다.


M&A업계 관계자는 "LG전자가 지난해부터 비주력 사업 정리 일환에서 수처리 관련 자회사 매각을 추진해왔다"며 "아직 확정된 것은 아니지만 현재 상황대로라면 6월말 본입찰을 진행, 연내 매각에 나설 것으로 보인다"고 말했다.

The sale of LG Electronics' water treatment subsidiary will begin in earnest. It is heard that main bidding will be held at the end of June.

Since early this year, LG Electronics has been seeking to sell its water treatment management operation company Haientech and environmental facilities and construction company LG Hitachi Water Solution. It is likely that Samsung Electronics will deal with 100% of Hientech's shares and 51% of LG Hitachi Water Solution's shares. A 49 percent stake in Hitachi of Japan, the second-largest shareholder of LG-Hitachi Water Solution, is also included in the sale.

The sale of the water treatment subsidiary was made in a day-to-day period of non-mainstream businesses. LG Hitachi Water Solution and Hientech are places where LG Electronics was incorporated into subsidiaries by using 'water treatment' as a food item in the past.
LG Hitachi Water Solution was established in 2012 in a joint venture with Hitachi Corp. of Japan, with LG Electronics owning a 51 percent stake. Haientech acquired it from Daewoo Engineering & Construction in 2011 and has a 100 percent stake.

LG Hitachi Water Solution posted 417.7 billion won in sales and 36.8 billion won in operating profit last year, while Hientek posted 155.4 billion won and 10.2 billion won in operating profit.
According to M&A industries on the 16th, LG Electronics selected Bank of America as the main agent for the sale and selected a qualified candidate through a preliminary bidding. Four candidates are foreign private equity funds (PEF), Standard Chartered Private Equity (SC PE), Morgan Stanley Private Equity (PE), KOSDAQ-listed Boo Bang and global No. 1 water treatment company Beolia.

About 10 companies reportedly participated in the preliminary bidding. Since the four selected candidates will undergo preliminary due diligence for about a month, the main bidding is expected to be held at the end of June.

For now, SC PE is showing the biggest interest in acquiring LG Electronics' water treatment subsidiary. The move is part of an effort to increase the size of environmental management stock company, which is a water treatment company it owns. SC PE is increasing the size of its business that acquired environment management company from Kolon in 2016.

A case in point is the acquisition of a total of six similar companies, including Double U.I.K.Green, which was acquired from Australia-based PEF Macquarie earlier this year. If it acquires Haientech, South Korea's third-largest water treatment company, it can have a domestic market share of more than 40 percent, widening the gap with TSK Water, the No. 2 player.

Bu Bang, known as the parent company of Kuchen, is also one of the leading candidates to take over LG Electronics' water treatment subsidiary. The Boobang is engaged in a flat water treatment project that the owner family supplies to balance the ship through the Tesros, which owns the stake. If it acquires Hientech and LG Hitachi Water Solution, it is expected that it will have synergy effects from its business as it will be able to advance into land-based water treatment.

Morgan Stanley PE is known to have participated in the acquisition race as it can secure stable profits through Hientech. Hientech is a company that operates and manages water treatment facilities that purify waste water or sewage from factories.

As LG Group has long-term contracts regarding water treatment, it is focusing on securing stable performance and expanding profits through additional M&As.
The M&A industry estimates that the expected sale of 100 percent stake in Hientech and 51 percent stake in LG Hitachi Water Solution is worth around 500 billion won. However, the size of the sale amount is flexible, as LG Electronics is also considering leaving some shares due to the group's heavy reliance on the subsidiary.

"LG Electronics has been pushing to sell its water treatment-related subsidiaries since last year in a bid to clean up non-mainstream businesses." said a representative for M&A industry.
