지난해 글로벌 제약·바이오 업계의 인수합병(M&A)가 활발하게 이뤄진 것으로 조사됐다. M&A 규모는 400조원에 달했고, 타 산업간 M&A는 전체 거래 건수의 70%에 육박하며 산업간 융합이 활발하게 진행됐다.


삼정KPMG가 최근 발간한 'M&A로 본 제약·바이오산업' 보고서에 따르면 지난해 글로벌 제약·바이오업계에서 진행된 M&A 건수는 1438건이다. 거래대금은 396억 달러(약 400조원) 규모에 달했다. 삼정KPMG가 파악한 최근 10년간 거래액 중 가장 큰 규모다.


국가별로 보면 미국 기업이 참여한 M&A가 630건으로 가장 많았고 캐나다(323건), 중국(224건), 영국(93건) 등이 뒤를 이었다. 한국 기업이 참여한 M&A는 41건으로 전체 11번째였다. 거래액 기준으로는 미국이 1171억300만 달러로 1위를 기록했고 영국(1133억9천300만 달러), 일본(879억1800만 달러) 순으로 조사됐다. 한국은 20억2000만 달러로 16번째를 기록했다.
국가별 거래 건수와 거래액은 해당 국가의 인수, 피인수, 자국 내 M&A를 모두 합한 수치다.
지난해 이뤄진 제약·바이오산업과 타 산업간 M&A건 수는 966건으로, 전체 거래의 67.2%를 차지했다. 삼성KPMG 측으 보고서를 통해 "제조업 기반의 제약·바이오 기업들이 건강관리 등 서비스에 관심을 가지면서 헬스케어 기업 인수가 꾸준히 늘고 있다"며 "시장지배력 강화, 유통 효율화를 위한 유통·물류 기업 인수도 지속적으로 추진되고 있다"고 분석했다.
제약·바이오 기업 인수 주체로는 사모펀드(PEF) 등 재무적 투자자들이 적극적으로 나서는 추세다.
지난해 제약·바이오 기업을 인수한 주체 가운데 동종업계(449건)를 제외하면 PEF 등 투자회사가 123건으로 가장 많았다.
수익성을 중시하는 재무적 투자자들이 M&A에 적극적으로 나선 것은 제약·바이오 산업의 성장성을 높게 평가하고 있기 때문이라는 게 삼성KPMG 측의 분석이다.
지난해 제약·바이오 기업 M&A 가운데 크로스보더(타국가 기업과 거래) M&A는 전년보다 54.4% 증가한 565건으로, 전체의 39.3%를

차지했다. 거래액 기준으로도 크로스보더 M&A가 1925억 달러로 자국 내 M&A(1470억 달러)보다 많았다.
보고서는 2022년 제약·바이오산업의 시장규모가 1조5천억 달러에 달할 것으로 전망하면서 국내 제약·바이오산업의 경쟁력 확보를 위해서는

M&A를 통해 지식·기술을 공유하고 4차 산업혁명 기술을 활용한 디지털 융합에도 대비해야 한다고 조언했다.
고병준 삼정KPMG 상무는 "글로벌 제약사들의 사업재편과 바이오벤처 투자의 지속적인 증가로 M&A가 활발하게 이뤄지고 있는 만큼 국내 기업들도 적극적인 M&A를 통해 글로벌 시장 경쟁력을 확보해야 한다"고 말했다.

M&As of global pharmaceutical and bio industries were actively carried out last year, according to a survey. The size of M&A reached 400 trillion won, and M&As among other industries accounted for nearly 70 percent of the total number of transactions, with convergence among industries actively underway.


According to a recent report titled "The Pharmaceutical and Bio Industry Based on M&A" published by Samjung KPMG, 1,438 cases of M&As were carried out in global pharmaceutical and bio industries last year. The transaction amount amounted to 39.6 billion U.S. dollars. It is the largest amount of transactions in the past 10 years that Samjeong KPMG has identified.


In terms of countries, M&As involving U.S. companies accounted for the largest portion with 630, followed by Canada with 323, China with 224, and Britain with 93. The number of M&As involving South Korean companies came to 41, the 11th overall. The U.S. topped the list with $117.13 billion in terms of transactions, followed by Britain with $113.39 billion and Japan with $87.91 billion, the survey showed. South Korea marked the 16th with $2.02 billion.

The number of M&A cases between pharmaceutical and bio industries and other industries that took place last year stood at 966, accounting for 67.2 percent of the total transactions. "As manufacturing-based pharmaceutical and bio companies are interested in health care and other services, acquisitions of healthcare companies are steadily increasing," said a report from Samsung KPMG.
Financial investors such as private equity funds (PEF) are actively taking over pharmaceutical and bio companies.
Excluding its peer group (449 cases) last year, investment companies such as PEFs accounted for the largest share of 123 cases.
According to Samsung KPMG's analysis, financial investors who value profitability are actively engaged in M&A because they are highly evaluating the growth of pharmaceutical and bio industries.
Among the M&As of pharmaceutical and bio companies last year, the number of cross-boarders (trade with companies from other countries) rose 54.4 percent year-on-year to 565, accounting for 39.3 percent of the total

It took up. On a trading basis, cross-boarder M&A was also worth $192.5 billion, compared with $147 billion in the country.
The report predicted that the market size of the pharmaceutical and bio industries will reach $1.5 trillion in 2022 to secure competitiveness of the domestic pharmaceutical and bio industries.

He advised the government to share knowledge and technology through M&A and prepare for digital convergence using fourth industrial revolution technology.
"As M&As are actively carried out due to global pharmaceutical companies' business reorganization and continued increase in bio-venture investment, Korean companies should also secure global market competitiveness through active M&As," said Koh Byung-joon, executive vice president of Samjeong KPMG.
