글로벌 자동차업계의 지각변동이 일어날 전망이다. 이탈리아·미국계 자동차업체 피아트크라이슬러(FCA)가 27일(현지시간) 프랑스의 르노자동차에 합병 제안을 했다. 르노도 이날 별도로 성명을 통해 프랑스 파리에서 이사회를 열고 합병안에 대해 논의할 예정이라고 밝혔다.

두 기업이 합병하면 세계 3위 규모의 새로운 자동차 기업이 탄생하게 된다.

31일 M&A업계에 따르면 FCA는 지난 27일 르노에 합병을 제안했다. 르노 역시 프랑스 파리 인근의 본사에서 이사회를 연 뒤 성명을 내고 FCA의 제안을 관심 있게 검토할 것이라는 입장을 전달했다. 합병은 FCA와 르노가 각각 50% 지분을 소유하는 형태로 추진된다.

FCA와 르노의 합병 가능성은 높은 편이다. 르노의 지분 15%를 보유하고 있는 프랑스 정부도 긍정적인 시그널을 보내고 있기 때문. 프랑스 내 설비와 일자리 유지 등의 단서를 달았지만 FCA가 단서 조항을 수용할 가능성이 높다는 게 M&A업계의 평가다. 자동차업계의 경우 규모의 경제를 바탕으로 시장점유율 확대가 수월하다는 게 이유다.

지난해 FCA와 르노의 자동차 생산대수는 870만대다. 독일의 폴크스바겐과 일본 도요타가 각각 1083만대, 1059만대 판매한 것보다는 적지만 미국 제너럴모터스(GM)보다 많은 수치다. 르노의 현재 제휴 업체인 닛산과 미쓰비시의 생산량까지 더할 경우 FCA와 르노의 합병 회사의 연간 생산량은 1500만대를 넘어서게 된다.

 

다만 변수는 존재한다. 르노가 오랫동안 파트너십을 유지해온 닛산의 태도다. 르노는 20여 년간 일본 닛산, 미쓰비시와 자동차 3사 연합을 맺고 기술협력, 전기자동차 공동개발을 하고 있다. 르노는 닛산 주식 43%를, 닛산은 의결권 없는 르노 주식 15%를 갖고 있기도 하다. 합병반대 의견을 피력할 수 있다.

닛산은 아직까지 양사 합병에 대해 아직 별다른 언급은 하지 않고 있다. 르노에 지분이 없고, 양사의 운영합의에도 어긋나지 않기 때문으로 보인다.

업계는 닛산이 FCA와 르노의 합병에 대한 득실을 면면히 살핀 뒤 공식 입장을 내놓을 것으로 보고 있다. 손익계산서를 두드려본 뒤 입장 표명에 나설 것이란 얘기다.

합병은 닛산에게 매우 민감한 주제다. 르노-닛산-미쓰비시 3사 연합의 지배구조가 바뀌며 독립경영권 유지가 어려워 질 수 있다. FCA는 르노 인수 시 닛산을 참여시키는 3자 합병도 고려하고 있는 것으로 전해진다.

장 도미니크 세나르 르노 회장은 3사연합 이사회에서 합병이 닛산에도 유리하다며 설득에 나설 것으로 알려졌다. 그러나 사이카와 닛산 CEO는 "닛산의 관점에서 합병을 더 면밀하게 보고 싶다"며 지켜보겠다는 입장을 밝혔다.

카를로스 곤 전 르노·닛산 회장이 지난해 11월 일본에서 체포된 이후 르노는 닛산과 불편한 관계를 이어가고 있다. 당초 곤 전 회장은 르노의 닛산 완전 합병을 계획했지만 닛산의 일본인 경영진이 이에 반발해 곤 회장을 축출시킨 것이라는 분석도 나온다

M&A업계 한 관계자는 "FCA와 르노의 합병이 성사되면 연간 50억 유로 이상 시너지효과를 거둘 것이란 분석이 나오고 있다"며 "닛산이 어떤 입장을 밝힐지에 업계의 관심이 모이고 있다"고 말했다.

It is predicted that there will be a change in perception in global automotive industries. Italian and U.S.-based automaker Fiat Chrysler on Wednesday proposed a merger with French automaker Renault SA. Renault will also hold a board meeting in Paris, France, to discuss the proposed merger, it said in a separate statement.


The merger of the two companies will create the world's third-largest new auto company.


According to M&A industries on the 31st, FCA proposed a merger with Renault on the 27th. Renault also issued a statement after holding a board meeting at its headquarters near Paris, France, to convey its position that it will review the FCA's proposal with interest. The merger will be carried out in the form of FCA and Renault owning a 50 percent stake, respectively.


The possibility of a merger between FCA and Renault is high. The French government, which owns 15 percent of Renault, is also sending a positive signal. Although it added clues such as maintaining facilities and jobs in France, M&A industries believe that FCA is likely to accept the clause. For the auto industry, the expansion of market share based on economies of scale is easy.

Last year, the number of cars produced by FCA and Renault was 8.7 million. The figure is smaller than Germany's Volkswagen and Japan's Toyota's sales of 10.83 million and 10.59 million units, respectively, but larger than that of U.S. automaker General Motors. If combined output of Renault's current affiliates, Nissan and Mitsubishi, are added, the combined annual output of the FCA and Renault companies will exceed 15 million units.

However, variables exist: Nissan's attitude, which Renault has long maintained a partnership with. For more than two decades, Renault has formed a three-way alliance with Nissan and Mitsubishi of Japan to cooperate in technology and jointly develop electric cars. Renault holds 43 percent of Nissan shares and Nissan has 15 percent of Renault shares without voting rights. I can express my opposition to the merger.

Nissan has yet to comment on the merger. This seems to be because the company does not have a stake in Renault, and it does not go against the agreement between the two companies.

The industry expects Nissan to come up with its official position after looking out for gains and losses on the merger between FCA and Renault. In other words, he will try to express his position after tapping the income statement.

Merger is a very sensitive subject for Nissan. The governance structure of the Renault-Nissan-Mitsubishi alliance changes and can make it difficult to maintain independent management rights. FCA is also said to be considering a three-way merger that would involve Nissan in the takeover of Renault.

Renault Chairman Jean-Dominique Senar is expected to persuade the board of directors of the three-way alliance, saying the merger is advantageous to Nissan as well. "We want to look at the merger more closely from Nissan's perspective," said Nissan CEO Saikawa.

Since former Renault and Nissan Chairman Carlos Ghosn was arrested in Japan in November last year, Renault has been having an uneasy relationship with Nissan. Although Ghosn initially planned to merge Renault into Nissan, some analysts say that Nissan`s Japanese management had ousted him in protest.

"If the merger between FCA and Renault is completed, it will be more than 5 billion euros a year." said a representative for an M&A industry.
