DB손해보험(대표이사 사장 김정남)은 괌, 사이판 그리고 파푸아뉴기니 에 설립 운영되고 있는 현지사인 Century Insurance Company(이하 CIC) 3개社를 인수하기로 하고 지난 달 26일 괌 소재의 하얏트 호텔에서 DB손해보험 김정남 사장과CIC 모회사인 탄홀딩스의 제리탄(Jerry Tan) 회장이 지분인수 계약을 체결했다.
DB손해보험은 이번 계약에서 모회사인 탄홀딩스가 소유하고 있는 CIC 괌, CIC사이판, CIC파푸아뉴기니 총3개 법인에 대한 지분 80% 를 취득하여 3개社에 대한 경영권을 확보하게 됐다.
CIC의 모회사인 탄홀딩스는 괌, 사이판 그리고 파푸아뉴기니 등 태평양 도서국가를 대상으로 물류, 에너지, 부동산, 유통, 에너지 및 손해보험 등 약 18여개의 자회사를 운영하는 사이판에 본사를 둔 중견 그룹이다.
CIC 괌, CIC 사이판, CIC 파푸아뉴기니는 해당 지역에 설립된 손보사로 외형은 권역별로 상위권에 속하며 손익 등 경영효율이 우수하여 현지 손해보험사로서는 양호한 신용등급(AM Best社 : B+ )을 획득하고 있다.
DB손해보험은 괌시장에서 1984년도부터 외국사의 지점형태로 진출하여 사업을 영위해 왔으며 그간의 사업경험을 기반으로 CIC를 인수함으로써 기존의 괌지점과 통합 운영을 통한 현지화의 가속화 및 시장내 확고한 1위 지위를 구축할 것으로 예상한다.
파푸아뉴기니 시장은 인구 700만명에 면적은 한반도의 2배로 석유, 가스, 석탄 등 풍부한 에너지 자원을 보유하고 있어 미래 성장 가능성이 높으나 상대적으로 낮은 보험침투율을 가지고 있어 향후 동시장에서의 사업확대를 기대하고 있다.
이날 계약 체결식에서 DB손해보험 김정남 사장은‘이번CIC 인수를 통해 DB 손해보험이 가지고 있는 전문적인 보험사업 역량에 탄홀딩스의 로컬시장에 대한 이해를 바탕으로 CIC를 괌, 사이판, 파푸아뉴기니 시장에서 최고의 경쟁력을 갖춘 보험사로 발전시키겠다’ 고 소감을 밝혔다.
DB손해보험은 하반기 중 지분취득 및 해외 직접투자 관련 인허가를 완료하고 CIC社 3개법인에 대한 인수후 통합작업을 추진할 계획이다.
한편, DB손해보험은 괌, 하와이 지점에 이어 2009년 캘리포니아 지점, 2011 년 뉴욕 지점 설립을 통해 미국 본토에 진출했고, 2013 년에는 중국 중경시 안청손보사 지분투자를 통해 합자법인을 출범 하였으며 2015년도에는 베트남 우체국 보험사(PTI社)를 인수(최대주주: 37.32%)하여 현지 우체국 등의 로컬 파트너와 공동 경영 중이다.
DB손해보험은 이 외에도 중국, 인도네시아, 런던 주재사무소 운영을 통해 해외 신규 사업 기회를 발굴하는 등 명실상부한 글로벌 금융그룹으로서 아시아 신흥시장을 포함한 해외시장을 적극 공략하고 있다.
[M&A] DB Insurance, foreign insurer CIC acquisition
DB Insurance (CEO Kim Jung-nam) has decided to take over three CICs, which are established and operated by Guam, Saipan, and Papua New Guinea, and signed a contract with President Kim Jung-nam of DB Damage Insurance at Hyatt Hotel in Guam on June 26. Jerry Tan, chairman of the CIC's parent company, signed a contract for shares.
In the deal, DB Insurance acquired 80 percent of the total three CIC Guam, CIC Saipan and CIC Papua New Guinea owned by its parent company, Tan Holdings, to secure management control of the three companies.
Tan Holdings, the parent company of CIC, is a Saipan-based mid-sized group that operates about 18 subsidiaries, including logistics, energy, real estate, distribution, energy and loss insurance, targeting Pacific island countries such as Guam, Saipan and Papua New Guinea.
CIC Guam, CIC Saipan, and CIC Papua New Guinea are established in the region, and because they are in the upper ranks of each region, they have good management efficiency such as profit or loss, they earn good credit ratings (AM Best Company: B+).
DB Insurance has promoted its business to a branch of a foreign company since 1984 in the Guam market and is expected to accelerate localization through integrated operation with existing Guam branches and establish a solid No. 1 position in the market by acquiring CIC based on its business experience.
Papua New Guinea has twice the size of the Korean Peninsula with a population of 7 million, and has abundant energy resources such as oil, gas and coal, so it is highly likely to grow in the future but has a relatively low insurance penetration rate, which is expected to expand its business in the same market in the future
At the signing ceremony, President Kim Jung-nam of DB Insurance said, "By acquiring CIC, we will develop CIC into the best competitive insurer in the Guam, Saipan and Papua New Guinea markets based on our understanding of the local market of Tan Holdings in the professional insurance business capabilities of DB Insurance."
DB Insurance plans to complete approval for its stake acquisition and overseas direct investment during the second half of the year and proceed with the merger after the acquisition of CIC's three subsidiaries.
Meanwhile, DB Insurance entered the U.S. mainland through the establishment of its branch in California in 2009 and New York in 2011, launched a joint corporation through equity investment in Ancheng Sonbo Co. in China's Zhongkyung Province in 2013, and is co-managed with local partners such as Vietnam Post Office Insurance Co. (PTI Co. 37.32%) in 2015.
In addition, DB Insurance is actively targeting overseas markets, including emerging markets in Asia, as a global financial group in name and substance, by finding new business opportunities abroad through the operation of its offices in China, Indonesia and London.
