부도 이후 새로운 주인을 찾아오던 오랜지팩토리가 자산매각 방식으로 그린홀딩스에 인수됐다. 오렌지팩토리는 올해 3월 법원으로부터 파산 결정 이후 공개매각을 선언하며 M&A 시장에 매물로 나온 곳이다.

8일 M&A업계에 따르면 그린월드홀딩스는 전신이 패션전산시스템을 구축, 관리하는 1세대 업체다. 자회사인 에스트아이씨사는 패션컨설팅 물류시스템구축, 관리로 S그룹, H그룹사 패션사업관리로 업계 인정을 받아왔다.

김현수 그린월드홀딩스 대표는 "가진 자금과 관리력, 오렌지팩토리의 유통노하우를 합치면 최고의 시너지 효과를 볼 수 있을 것"이라며 " 운영자금 1천억 원을 외부 펀딩이나 금융권 대출 없이 확보한 상태"라고 말했다.

매장 계획은 연내 10개 점포를 시작으로 2022년까지 오프라인 매장 100개 점을 목표로 하고 있다. 온라인 시장 진입까지 도모하기 위해 500억 원대 매출의 024기업도 인수 추진 중이다. 그린월드홀딩스는 직영점 운영 및 물류 부문은 오렌지팩토리에서 근무했던 직원을 우선 채용할 계획이다.

오렌지팩토리는 패션유통업체로 2001년 1호점을 시작으로 부도 직전까지 전국에 72개 대형직영점을 운영한 곳이다. 그러나 2015년 중국에 진출, 대형점포 오픈 후 사드로 인한 금한령 여파로 중국 투자 유치에 실패해 2017년 1월 31일 1차 부도 이후 2017년 3월 22일 최종부도처리 된 바 있다.

[M&A] Green Holdings acquires Orange Factory Utilizing Asset Selling Method

Orange Factory, which had been visiting a new owner since its bankruptcy, was acquired by Green Holdings through asset sales. Orange Factory was sold to the M&A market in March this year, declaring a public sale after the court decided to go bankrupt.



According to M&A industries on the 8th, Green World Holdings is a first-generation company that has established and managed a fashion production system. Its subsidiary, Esteys, has been recognized in the industry for its management of fashion consulting logistics systems, S Group and H Group's fashion business.



"The combined distribution know-how of small capital, management and Orange Factory will provide the best synergy," said Kim Hyun-soo, CEO of Green World Holdings, adding that the company has secured 100 billion won in operating funds without outside funding or loans from the financial sector."



The store plan aims to have 100 offline stores by 2022 starting with 10 stores by the end of this year. The company is also seeking to acquire 024 companies with sales worth 50 billion won to even seek to enter the online market. Green World Holdings plans to first hire employees who used to work at Orange Factory in its direct branch operation and logistics division.



Orange Factory is a fashion distribution company that operated 72 large-scale direct stores across the country from its first store in 2001 to the brink of bankruptcy. However, it failed to attract investment from China in the wake of the ban imposed by THAAD after entering China in 2015 and opening a large store, and was finally insolvent on March 22, 2017, after the first bankruptcy on Jan. 31, 2017.
