우리금융지주가 금융위원회로부터 동양자산운용에 대한 자회사 편입 승인 및 ABL글로벌자산운용에 대한 대주주 변경 승인을 획득했다.

26일 우리금융지주에 따르면 대주주변경 승인은 지난 24일 이뤄졌다. 금융당국 인가 획득은 우리금융지주 출범 후 첫 번째 M&A가 순조롭게 마무리됨에 따라 현재 추진 중인 부동산신탁 인수 및 추후 캐피탈, 저축은행 등 비은행 사업포트폴리오 확충에도 탄력이 붙게 될 것이란 게 우리금융측지주 설명이다.

우리금융은 동양자산운용과 ABL글로벌자산운용을 합병 없이 별도 운영하는 멀티 자산운용사 운영전략을 채택하고 동양자산운용은 전통형 종합자산운용사다. 올해 비금융사 경쟁력 강화를 위해 ABL글로벌자산운용은 해외·대체 특화 종합자산운용사로 차별화해 육성할 계획을 세운 바 있다.

우리금융지주 측은 “지난 4월 SPA(주식매매계약)체결 즉시 PMI(인수 후 통합) 추진 TFT를 꾸리고, 인수 후 경영전략 수립, 조직 정비 등 인수 준비를 착실하게 진행해 왔다”며 “우리금융그룹의 브랜드와 네트워크를 활용하여 조기에 시너지 창출 및 그룹 편입효과를 극대화함으로써 단기간에 업계 최고 수준의 자산운용사로 육성할 계획”이라고 말했다.

손태승 우리금융그룹 회장은 “우수한 운용인력과 탁월한 운용실적을 보유한 동양자산운용과 ABL글로벌자산운용을 성공적으로 인수하게 돼 매우 기쁘게 생각한다”며 “그룹 계열사와 운용 노하우 공유, 펀드상품 공동개발 등 고객에게 보다 다양한 특화 상품 및 서비스를 제공함으로써 자산운용 시장 내 우리금융그룹의 지위를 한층 강화하고 고객가치를 제고할 것”이라고 밝혔다.

한편 우리금융지주는 최근 그룹임원후보추천위원회를 열고 동양자산운용에는 현 하이자산운용 최영권 대표를, ABL글로벌자산운용에는 현 하나대체자산운용 김동호 전략투자본부장을 각각 신임 대표로 내정했으며, 동양자산운용과 ABL글로벌자산운용은 8월 1일 주주총회를 개최해 각 내정자를 대표이사로 선임할 예정이다.

[M&A] Woori Finance Holdings Co. wins approval from the Financial Services Commission to acquire Tongyang Asset Management and ABL Global Asset Management.

Woori Finance Holdings Co. has won approval from the Financial Services Commission to merge Tongyang Asset Management Co. and change its majority stake in ABL Global Asset Management Co.



According to Woori Finance Holdings Co. on Wednesday, approval for the change of its major shareholder was made on Monday. With the first M&A completed smoothly after Woori Finance Holdings' launch, the acquisition of real estate trusts and the expansion of non-banking business portfolios such as Capital and savings banks will also gain momentum, according to Woori Financial Group's chairman.



Woori Finance will adopt a strategy to operate multiple asset management firms that operate Tong Yang Asset Management and ABL Global Asset Management separately without mergers, while Tongyang Asset Management is a traditional comprehensive asset management company. In order to strengthen competitiveness of non-financial companies, ABL Global Asset Management had a plan to differentiate and foster ABL Global Asset Management as a foreign and alternative specialized asset management company.



"We have been steadily preparing for the acquisition, including establishing management strategies and reorganizing the organization immediately after signing the SPA (SPA) in April," said Woori Finance Holdings. "We plan to foster the company as the industry's top asset management company in a short period of time by maximizing the effects of creating synergy and incorporating the group by utilizing our financial group's brand and network."



"We are very happy to successfully acquire Tongyang Asset Management and ABL Global Asset Management, which have excellent management personnel and outstanding operating performance," said Woori Financial Group Chairman Sohn Tae-seung. "We will strengthen Woori Group's position in the asset management market and enhance customer value by providing customers with more specialized products and services such as sharing know-how in operation with the group's affiliates and joint development of fund products."



Meanwhile, Woori Finance Holdings recently held a group executive nomination committee meeting and named Choi Young-kwon, the current CEO of Hi Asset Management, and Kim Dong-ho, the current head of Hana Replacement Asset Management, as its new head of strategic investment at ABL Global Asset Management, while Tongyang Asset Management and ABL Global Asset Management will hold a shareholders meeting on Aug. 1 to appoint each nominee as their representative.
