동화기업이 전해액 제조업체 파낙스이텍의 인수합병(M&A) 절차를 마무리했다. 동화기업은 M&A를 바탕으로 글로벌 2차전지 시장 경쟁력을 극대화한다는 방침이다. 동화기업은 동화그룹 계열사로 동화그룹의 신성장동력 마련에도 상당한 도움이 될 것이란 게 M&A업계의 분석이다.


19일 M&A업계에 따르면 동화기업은 지난 14일 파낙스이텍 지분 89.63%에 해당하는 1086만3403주 인수 비용 1179억원을 납입했다. 전체 금액의 90%다.
동화기업은 지난 12일 주식매매계약(SPA)을 체결하며 총 거래액의 10%를 계약금으로 지불한 바 있다.


동화기업의 파낙스이텍 M&A는 본사인 동화그룹의 의지가 적극 반영된 것으로 알려졌다. 동화그룹은 건자재사업을 주력 사업으로 하고 있지만 최근 2차 전지 사업 등 신성장동력 사업 마련에 상당한 관심을 보여왔다. 2차 전지 시장이 확대되고 있는 만큼 회사차원에서 주력 사업으로 양성할 수도 있다는 얘기다.


실제 전해액은 전해액은 2차전지의 4대 핵심 소재 중 하나로 꼽힌다. 글로벌 2차전지 시장은 전기차, 에너지저장시스템(ESS) 등의 수요 증가에 힘입어 2025년까지 120조원 규모로 성장할 것으로 예측된다.


동화기업은 전해액 시장도 함께 성장할 것으로 전망되는 만큼 파낙스이텍 공장 증설을 통해 전해액 생산능력을 확대할 방침이다. 파낙스이텍은 현재 대한민국, 말레이시아, 중국 등지에서 공장을 운영하며 연간 약 2만3000톤의 전해액을 생산하고 있다.


현재 중국에 건설 중인 제 2공장은 9월 완공을 앞두고 있다. 파낙스이텍은 유럽 시장에도 진출을 모색하며 전해액 생산량을 약 2배 가량 끌어올릴 예정이다. 이를 발판으로 동화기업은 삼성SDI뿐만 아니라 국내외 주요 배터리, 자동차 업체를 추가로 발굴할 계획이다.


동화기업 관계자는 '파낙스이텍은 향후 2차전지 시장을 주도할 중대형 제품에 사용되는 전해액 제조에 국내 최고 R&D 역량을 보유하고 있다”며 “글로벌 업계 1위인 일본에 대한 기술 종속 우려가 없는 것도 강점”이라고 강조했다. 그는 또 "파낙스이텍 인수는 화학 분야로도 성장 엔진을 다각화하고 있는 동화기업에 지속가능한 미래 신성장동력이 될 것”이라고 말했다.

Dongwha Company has finished M&A process of PanaxE Tech, which is a manufacturer of electrolyte. Dongwha Company is planning to maximize its competitive edge in global secondary cell markets based on M&A. Dongwha is an affiliate of Donghwa Group, which will also help Dongwha Group develop new growth engines, according to the M&A industry.



According to M&A industries on the 19th, Dongwha Company paid 117.9 billion won (117 million U.S. dollars) for 1,0863,403 shares, which is equivalent to 89.63% of Panax eTec's shares, on the 14th. It is 90 percent of the total amount.
Dongwha had signed a stock sale agreement (SPA) on the 12th and paid 10 percent of the total transaction as a down payment.



It is heard that Panax-Etek M&A of Dongwha Company actively reflects its will. Donghwa Group has been focusing on building materials business, but has recently shown considerable interest in developing new growth engine businesses, including the secondary battery business. In other words, the company may train the company as its main business as the secondary battery market is expanding.



The actual electrolyte is considered one of the four key materials of the secondary battery. It is predicted that global secondary battery market will grow to 120 trillion won by 2025, thanks to increased demands from electric vehicles and ESS (Energy Storage System).



Dongwha is planning to expand production capacity of electrolyte by expanding its PanaxE Tech plant as it is predicted that markets for electrolyte will grow as well. Panax-E Tech currently operates plants in South Korea, Malaysia and China, producing about 23,000 tons of electrolyte per year.



The second plant, currently under construction in China, is set to be completed in September. Panax eTec is also planning to increase production of electrolyte by about twice as much as it is looking to enter European markets. Based on this, Dongwha plans to find not only Samsung SDI but also major domestic and foreign batteries and automobile companies.



"Panax eTec has South Korea's best R&D capability in manufacturing electrolytes that are used for medium and large-sized products that will lead secondary battery markets in the future." said a representative for Dongwha Company. The acquisition of PanaxE Tech will also become a sustainable future new growth engine for assimilation companies that are diversifying their growth engines into the chemical sector, he also said.
