자동차 부품기업 아이에이가 세원 경영권을 최종 인수, 미래자동차 핵심부품그룹으로 도약에 나선다. 세원은 자동차 공조장치 부품 및 비메모리 전력반도체 를 주력 사업으로 내세우고 있는 곳이다.
18일 인수합병(M&A)업계에 따르면 아이에이와 계열사 아이에이네트웍스는 세원의 최대주주인 에이센트의 지분 100%와 에이센트가 발행한 전환사채를 인수한다. 에이센트 지분은 아이에이가 52%, 아이에이네트웍스가 48% 취득하는 형태다.
에이센트는 세원의 지분 18.89%(422만7720주)를 보유한 최대주주다. 아이에이그룹이 세원의 최대주주를 인수함으로써 사실상의 경영권을 최종 인수하는 구조다. 이에 아이에이그룹이 보유한 세원 지분은 전환사채 등 기존 보유 지분 17.06%를 포함해 총 34.14%로 늘었다.
아이에이와 아이에이네트웍스, 세원 3사는 전기차, 수소차 사업 관련 전략적 협업을 진행해왔다. 특히 아이에이와 세원은 전기차, 수소차의 핵심 부품인 비메모리 전력반도체 전문 자회사 트리노테크놀로지를 공동 경영하며 사업을 넓히고 있다. 아이에이네트웍스는 차량용 이미지센서 기술을 도입한 자율주행시스템 개발을 진행중인 만큼 그룹 차원에서 사업 시너지를 크게 확대한다는 전략이다.
아이에이 관계자는 "세원의 경영 전면에 직접적으로 나서 전기차, 수소차 관련 사업 협업을 더욱 적극적으로 확대할 계획"이라며 "세원은 올해 1분기에 이어 2분기에도 창사 이래 최대 실적을 달성한 만큼, 그룹사 간 시너지를 극대화해 미래자동차 핵심부품기업으로 빠르게 도약할 수 있을 전망"이라고 말했다.
한편 경영권 인수와 함께 이날 열린 세원의 임시주주총회에서는 현대차 대표이사 부회장을 역임한 김동진 아이에이 회장과 조성우 부회장 등 주요 경영진이 등기이사로 선임됐다.

According to M&A industries on the 18th, IA and its affiliate IA-INCNetworks will take over 100% of Aicent, which is the largest shareholder of Sewon, and convertible bonds issued by Accent. Aicent's shares are 52 percent and 48 percent of IA Networks.
Accent is the largest shareholder of Sewon with 18.89 percent (4,227,720 shares). By acquiring Sewon's largest shareholder, IA-INC Group will finally take over the de facto management rights As a result, IA Group's stake in Sewon increased to 34.14 percent, including 17.06 percent in convertible bonds.
IA-INC, IA-INC Networks, and Sewon have been working together on strategic cooperation regarding electric vehicle and hydrogen car businesses. In particular, IA and Sewon are expanding their businesses by jointly managing Trinot Technology, a subsidiary that specializes in non-memory power semiconductors, which is a key component of electric vehicles and hydrogen cars. As IA-INC Networks is currently developing self-driving systems that introduce image sensor technology for vehicles, it is planning to greatly expand its business synergy at the group level.

Meanwhile, key executives, including I.A. Chairman Kim Dong-jin and Vice Chairman Cho Sung-woo, who served as vice chairman of Hyundai Motor Co., were appointed as registered directors at the extraordinary shareholders meeting held on the same day with the acquisition of managerial control.
