코트라가 한국금융투자협회와 함꼐 25일 서울 여의도 금투센터에서 ‘소재·부품·장비 해외 M&A 설명회’를 개최한다. 설명회는 일본 수출규제 대응 차원에서 기획, 해외 사모펀드가 인수해 보유한 포트폴리오 중 소재·부품·장비 분야 선진국 중소기업 36곳을 소개하는 형태로 진행된다.

코트라와 한국금융투자협회는 M&A 설명회를 계기로 국내 기업의 소재·부품·장비 관련 산업경쟁력 확대를 이끌어 낸다는 계획이다.
코트라는 일단 사모펀드 등이 경영권을 보유한 곳 중에서 1천억원 이내 중소형 기업을 전략적으로 선별, 소개할 계획이다.


23일 코트라에 따르면 사모펀드(PE)는 일반적으로 재매각을 통한 이익 실현이 목적이므로 가격협상 과정이 까다로워도 인수 가능한 잠재매물로 인식된다. 다만 소수지분 인수만으로는 기술 확보가 어렵고 지나치게 큰 기업을 국내 중소·중견기업이 인수하는 것은 사실상 불가능하다는 점을 주목했다.


설명회에서는 독일 등 선진국 법정관리기업 24개사도 다뤄진다. 법정관리기업 역시 매각을 통한 채권회수를 우선 고려한다는 점에서 준매물로 간주된다. 법정관리 24개사 중에는 소재·부품·장비 분야 기업 17개사가 포함됐다. 국내기업 수요가 많은 아세안(ASEAN) 지역 M&A 매물 및 지분매각 건 20여개도 이번 설명회에서 안내된다.


코트라는 2013년부터 해외 M&A를 희망하는 국내 기업을 지원, 현재까지 총 53건이 성사됐다. 코트라는 그동안 경험과 노하우를 바탕으로 우리 중소·중견기업의 기술 인수형 M&A 지원을 더욱 강화해 나갈 계획이다.


장상현 코트라 인베스트코리아 대표는 "일본 수출규제에 대한 대응은 장기적으로 국산화를 통한 역량 제고가 해답”이라며 “모든 분야를 직접 국산화하려면 시간이 부족하므로 M&A로 과정을 단축해나갈 필요가 있다”고 밝혔다.

KOTRA, along with the Korea Financial Investment Association, will hold an overseas M&A briefing session on materials, components and equipment at Geumtu Center in Yeouido, Seoul on Saturday. The briefing session will be held in the form of introducing 36 small and medium-sized companies in advanced countries in the field of materials, components and equipment among portfolios that are planned and held by foreign private equity funds in order to cope with export regulations in Japan.


KOTRA and the Korea Financial Investment Association are planning to induce South Korean companies to expand their industrial competitiveness related to materials, components and equipment on the occasion of the M&A briefing session.
KOTRA plans to strategically select and introduce small and medium-sized companies within 100 billion won of the management rights held by private equity funds and others.



According to KOTRA on the 23rd, private equity funds are generally seen as potential buyers, even if the price negotiation process is tricky, as the purpose is to realize profits through resale. However, he noted that it is difficult to secure technology just by acquiring minority shares and that it is practically impossible for small and medium South Korean businesses to take over companies that are too large.



The briefing session will also cover 24 court-managed companies in advanced countries, including Germany. Court-managed companies are also considered quasi-sale in that they consider collecting bonds through sale first. Among the 24 companies under court receivership were 17 companies in the material, parts and equipment sectors. About 20 M&A purchases and stake sales in ASEAN regions, which are in high demand for domestic companies, will also be presented at the briefing session.



Since 2013, KOTRA has supported local companies hoping to become M&As overseas, with a total of 53 cases so far. Based on its experience and know-how, KOTRA is planning to further strengthen M&A support for technologies that are taken over by small and medium businesses.



Jang Sang-hyun, head of KOTRA's Invest Korea, said, "The answer to Japan's export regulations is to enhance its capacity through localization in the long term," adding, "We need to shorten the process to M&A because we don't have enough time to directly localize all sectors."
