복사기 제조 전문 글로벌 업체인 제록스가 개인용 컴퓨터·프린터 제조사 HP의 인수합병을 검토중인 것으로 알려졌다. 구체적인 내용은 공개되지 않았지만 제록스의 이사회가 HP 인수 가능성 등을 놓고 심도 있게 논의한 것으로 전해진다.


10일 M&A업계에 따르면 월스트리트저널 등의 주요외신들은 최근 제록스가 지난 4일(현지시각) 미국 본사에서 이사회를 열고 일본 후지필름의 합작회사 후지 제록스 지분 25%를 23억 달러에 매각하기로 했다.

후지필름과 합작을 청산하겠다는 얘기다. 제록스는 후지 제록스의 주식매각으로 확보한 자금을 활용해 HP 인수합병을 타진을 검토하고 있다. HP도 제록스로부터 지난 6일 최종 제안서를 받았고 밝혔다.


HP 측은 "우리는 더 좋은 진로가 있다면 이를 행동에 옮겨온 전례가 있고, 주주 모두에게 최선의 이익이 무엇이냐는 관점에서 숙고와 절제 속에 행동하겠다"라고 밝혔다. 제록스도 "우리 업계는 한참 전에 통합이 이뤄졌어야 했다"며 "먼저 움직이는 쪽이 분명한 이익을 볼 것"이라는 입장을 내놨다.


제록스가 HP에 제시한 인수금액은 부채 포함 300억달러(34조8000억원)에 달한다. 전날 HP주가 22달러를 기준으로 경영권 프리미엄으로 20%가량을 붙인 수준이다. 


제록스의 HP 인수 검토 배경에는 회사 비용 절감이 자리잡고 있다. M&A는 현금과 주식교환 형태로 추진된다. 지분 매각대금인 23억 달러를 바탕으로 금융기관 등으로 부터 자금 지원을 통해 진행하는 형태다.


다만 M&A가 순탄하게 진행될 수 있을지는 미지수다. 제록스의 시가총액은 80억달러 수준이다. 반면 HP의 시가총액은 270억달러(약 31조2300억원)에 달한다. 기업 규모만 놓고 보면 제록스는 HP의 1/3정도에 불과하다.


매출 규모에도 상당한 차이가 있다. 제록스는 지난해 글로벌 경제침체로 인해 사무기기의 판매가 크게 줄어들고 있다. 지난해말 매출은 전년대비 4% 줄어든 98억 달러다. 반면 HP는 PC 판매 호조로 지난해 10월 기준 매출이 전년대비 12%가 증가, 585억달러를 기록했다. 매출 차이는 기업가치 차이보다 큰 5배 가량이다. 인수대상 기업의 기업가치와 매출 등이 높다는 것은 높은 매각가로 연결될 수 있다.


다만 HP가 구조조정 일환에서 수장을 교체하고 2022년까지 7000~9000명의 직원을 구조조정하며 매년 10억달러를 절감하는 계획을 밝혔던 만큼 제록스의 HP인수가 전혀 불가능한 것은 아니라는 게 M&A업계의 분석이다. 특히 대형업체 위주의 임대 형태의 사업모델을 보유한 제록스와 달리 HP는 개인 위주 판매 사업모델을 고수했던 만큼 새로운 변화가 필요한 상황이다. HP가 대규모 구조조정 계획을 밝힌 것도 이같은 일환에서다.


M&A업계 한 관계자는 "제록스가 자신보다 몸집이 3배가량 큰 HP의 인수를 성공할 수 있을지 관심이 모이고 있다"며 "수치만 놓고 본다면 승자의 저주 등에 대한 부정적인 의견도 있지만 최근 제록스의 대주주인 행동주의 펀드 아이칸이 경영에 간섭을 하며 공격적으로 움직이고 있는 만큼 전혀 가능성이 없는 것은 아니다"고 말했다.

Xerox, a global company specializing in manufacturing photocopiers, is reportedly considering taking over HP, a personal computer and printer maker. Details have not been made public, but Xerox's board reportedly discussed in depth the possibility of taking over HP and others.



According to the M&A industry on the 10th, major foreign media including The Wall Street Journal recently held a board meeting at its headquarters in the U.S. on the 4th (local time) and decided to sell a 25 percent stake in Fuji Xerox, a joint venture of Fujifilm, Japan, for 2.3 billion dollars.


In other words, the company will liquidate the joint venture with Fujifilm. Xerox is considering taking advantage of funds secured from the sale of Fuji Xerox's shares to tap into HP's merger and acquisition. HP also said it received a final proposal from Xerox on the 6th



"If we have a better path, we will act in contemplation and restraint from the perspective of what is best for all shareholders," HP said. "Our industry should have been integrated a long time ago." said Xerox.



Xerox's offer to HP amounts to $30 billion (34.8 trillion KRW) in debt. On the previous day, HP shares added about 20 percent as a premium for management rights based on $22.



Behind Xerox's review of HP acquisitions is company cost savings. M&A will be promoted in the form of cash and stock exchange. Based on $2.3 billion in proceeds from the stake sale, the fund is carried out through financial support from financial institutions and others.



However, it remains to be seen whether M&A can proceed smoothly. Xerox has a market capitalization of $8 billion. On the other hand, HP's market capitalization amounts to $27 billion. Xerox is only a third of HP's in terms of corporate size.



There is also a significant difference in the size of sales. Xerox has seen sales of office equipment decline significantly last year due to the global economic slump. Sales fell 4 percent on-year to $9.8 billion at the end of last year. HP, on the other hand, saw its sales jump 12 percent on-year to $58.5 billion in October last year due to strong PC sales. The difference in sales is about five times larger than the difference in corporate value. The high corporate value and sales of the companies under the takeover can lead to high selling prices.



However, since HP announced its plan to replace its head as part of restructuring, restructure 7,000 to 9,000 employees by 2022 and save $1 billion annually, the M&A industry analyzed that Xerox's acquisition of HP is not impossible at all. Unlike Xerox, which has a business model in the form of rental based on large businesses, HP has maintained its business model based on individual sales and needs a new change. HP's announcement of a large-scale restructuring plan is part of this plan.



"We are interested in whether Xerox can succeed in acquiring HP, which is about three times bigger than him," an M&A industry source said. "Although there are negative opinions about the curse of the winner, Icahn, who is a major shareholder of Xerox, is not without any possibility at all because he is interfering in management and is aggressively moving."
