SCM생명과학과 제넥신의 미국 현지 합작법인 코이뮨이 이탈리아 신약개발 회사인 포뮬라를 인수합병해 면역항암제 플랫폼의 통합 및 강화를 추진한다고 최근 밝혔다.

코이뮨은 통해 포뮬라의 모든 유형 및 무형 자산에 대한 권한을 확보, 주요 파이프라인이 진행성 신장암 치료제 'CMN-001'과 급성 림프구성 백혈병 치료제 'CAR-CIK'로 확대될 예정이다. 기존 개발중인 신장암 치료제에 대한 임상시험도 조만간 진입할 예정이다.
CAR-CIK(Cytokine-Induced Killer Cell, 사이토카인 유도 살해세포)는 현재의 CAR-T 치료제가 가지고 있는 고가, 부작용 등 상업적 한계를 극복하기 위해 환자의 혈액이 아닌 건강한 사람의 제대혈을 이용하고 바이러스를 사용하지 않는 차세대 치료제다.
M&A에는 CAR-CIK의 미국내 임상개발을 위해 포뮬라 기존 투자자들이 600만달러를 코이뮨에 투자할 예정이며 추가로 코이뮨은 유럽과 미국에서 시리즈 A 투자유치에도 나설 계획이다.

찰스 니콜렛 코이뮨 최고경영자는 "포뮬라가 백혈병 치료 분야에 높은 기술력과 견고한 투자 기반을 보유하고 있다고 판단했다"며 "M&A를 통해 양사의 면역항암치료제 플랫폼을 통합함으로써 코이뮨의 기업가치를 극대화할 수 있는 기회를 마련하게 됐다"고 말했다. 이어 "양사의 시너지를 이용하여 개발중인 치료제가 미국 FDA 승인을 받을 수 있도록 임상에 매진할 계획"이라고 강조했다.

SCM생명과학과 제넥신은 에스씨엠생명과학과 제넥신은 두 제품의 국내 임상을 추진하여 국내 허가를 취득하는 방안도 검토하고 있다.
코이뮨은 현재 진행성 신장암 치료제 CMN-001에 대한 임상 2b상을 엠디 앤더슨 병원을 포함한 미국내 5개 병원에서 진행할 예정이다. CAR-CIK 미국내 임상을 위해서는 이탈리아의 밀라노-비코카대학 및 상 제라르도 병원과 차세대 CAR-CIK 개발에 필요한 연구를 지속적으로 수행할 계획이다.

본 연구를 위해 CAR-CIK의 개발자인 안드레아 비온디(Andrea Biondi) 박사를 코이뮨의 임상 자문 위원으로 임명했다. 특히 이탈리아 로타팜 바이오텍의 최고경영자 루치오 로바티를 코이뮨의 이사로 선임헤 유럽 투자유치 및 사업개발 경쟁력도 확보했다. 코이뮨의 이사진은 이병건 대표(이사회 의장), 성영철 대표, 찰스 니콜렛 대표, 루치오 로바티 대표로 구성된다.

[M&A] SCM Life Sciences-CoImmune, Italian Formula Acquisition...Immuno-Anti-cancer platform integration

It recently announced that it will seek to integrate and strengthen its immune anti-cancer platform by acquiring Formula, a U.S.-based joint venture between SCM Life Sciences and Genexin, a new drug development company in Italy.


Koi뮨ng will secure rights to all types and intangible assets of Formula, and the main pipeline will be expanded to progressive kidney cancer treatment "CMN-001" and acute lymphocytic leukemia treatment "CAR-CIK." Clinical trials on existing kidney cancer treatments will be introduced soon.
CAR-CIK (Cytokine-Indured Killer Cell) is a next-generation treatment that uses cord blood from healthy people and does not use viruses to overcome the high-priced, side-effects and other commercial limitations that current CAR-T treatments have.
For CAR-CIK's clinical development in the U.S., Formula investors will invest $6 million in Coimmune, while Koiq plans to attract series A investment in Europe and the U.S.



"We have determined that Formula has a high level of technology and a solid investment base in the field of leukemia treatment," said Charles Nicollet, chief executive officer of CoImmune. "M&A has created an opportunity to maximize the corporate value of CoIK by integrating the two companies' immune cancer treatment platforms." "We plan to use synergies from both companies to focus on clinicians so that the drugs under development can be approved by the U.S. FDA," he said.



SCM Life Sciences and Genexin are also considering ways to obtain domestic permits by pushing for the clinching of the two products in Korea.
Koisson will present clinical 2b awards for the ongoing kidney cancer treatment CMN-001 at five U.S. hospitals, including Emdi Anderson Hospital. For clinical trials in the U.S. of CAR-CIK, the Italian University of Milan-Vicocca and Sang Gerardo Hospital will continue to carry out the research needed to develop the next-generation CAR-CIK.


For this research, Dr. Andrea Biondi, the developer of CAR-CIK, has been appointed as a clinical consultant for CoImmune. In particular, he also secured competitiveness in European investment inducement and business development as the director of CoImmune, the CEO of Rotapam Biotech in Italy. Koisson's board will be comprised of representatives Lee Byung-gun (chairman of the board of directors), Sung Young-chul, Charles Nicollette and Lucio Lovati.
