제주항공이 이스타항공 인수를 위한 주식매매계약(SPA) 체결을 연기했다. 제주항공은 1월 중에 마무리할 계획이었던 이스타항공 주식매매계약(SPA) 체결을 2월로 변경한다고 지난달 31일 밝혔다. 제주항공의 SPA 체결 연기는 지난해 말에 이은 두 번째다.

2일 M&A업계에 따르면 제주항공은 지난해 12월18일 이스타항공의 최대 주주인 이스타홀딩스로부터 이스타항공 지분 497만1000주(지분율 51.17%)를 695억원에 인수하는 내용의 양해각서(MOU)를 체결, 지난해 말까지 SPA를 끝내기로 했다. 그러나 기업실사 등 인수 작업이 길어지며 지난해 12월30일 SPA 계약을 한 달 연기했다.

이후 제주항공의 이스타항공 간 SPA 체결이 1월 중 이뤄질 것으로 예상됐지만 제주항공은 또 한 차례 연기했다. 구체적인 조건 등이 맞지 않아 연기되고 있다는 게 M&A업계의 분석이다.

실제 이스타항공은 제주항공에 주식매매 대금을 일부 낮추더라도 전액 현금으로 지급해달라고 요구하고 있지만 제주항공은 어렵다는 입장을 고수하고 있는 것으로 알려졌다.
특히 신종 코로나바이러스의 영향도 SPA 체결의 속도를 늦추는 요소로 꼽힌다.

제주항공은 지난해 일본 수출규제에 대응한 '노노 재팬' 운동 여파로 일본 노선 운행 감소 등으로 인해 실적이 저조했다. 특히 최근에는 신종 코로나바이러스 영향으로 중국 노선이 축소되고 여행객이 급감해 추가 실적 악화가 불가피한 상황이다. 이스타항공이 요구하는 현금 지급을 하는 게 녹록치 않다는 얘기다. 저비용항공사(LCC) 업계 일각에선 제주항공의 이스타항공 인수가 무산될 수 있다는 얘기도 나온다.

일단 제주항공은 업계 안팎에서 제기되고 있는 인수무산 가능성에 대해선 사실과 다르다는 입장이다. 제주항공 측은 "시간이 부족한 상황일 뿐 시장에서 우려하는 인수 불발 등의 이슈는 없다"며 "제주항공과 이스타홀딩스는 2월 중 계약을 체결할 예정"이라고 말했다.

제주항공은 이스타항공을 인수할 경우 항공업계 3위에 올라 규모의 경제를 할 수 있게 된다. 특히 LCC업계의 선두기업으로 시장 점유율 확대와 시장 주도권의 강화도 가능하다.

제주항공 측은 이스타항공 SPA 계약과 관련해 "추가 협의를 통해 거래 조건과 내용을 조율, 합의한 조만간 계약 내용을 확정할 계획"이라며 "실사 및 진행과정에서 일정이 변경될 가능성은 있지만 변동사항이 발생하면 관련 상황을 공시하겠다"고 밝혔다.

[M&A] Jeju Air to postpone signing of a deal to buy Eastar Jet again

Jeju Air has delayed signing a stock trading contract to acquire Eastar Jet. Jeju Air said on March 31 that it will change the signing of the Eastar Jet stock trading contract to February, which it planned to wrap up in January. Jeju Air's delay in signing the SPA is the second of its kind since late last year.



According to the M&A industry on the 2nd, Jeju Air signed a memorandum of understanding on Dec. 18 last year to acquire 4.971 million shares (51.17 percent) in Eastar Jet from Eastar Holdings, the largest shareholder of Eastar Jet, for 6.95 billion won, and decided to end the SPA by the end of last year. However, it delayed the SPA contract by one month on Dec. 30 last year due to the prolonged acquisition process, including due diligence.


Jeju Air later postponed the signing of the SPA between Eastar Jet Co. and Jeju Air Co. another time, though it was expected to take place in January. The M&A industry analysis shows that the delay is being made due to the lack of specific conditions.


In fact, Eastar Jet is reportedly asking Jeju Air to pay in full cash even if it partially lowers the amount of money it sells stocks, but Jeju Air maintains its position that it is difficult.
In particular, the impact of the new coronavirus is also seen as a factor that slows the pace of SPA signing.



Jeju Air performed poorly last year due to a drop in operations on its Japanese routes in the aftermath of its "No Japan" campaign in response to Japan's export regulations. In particular, the impact of the new coronavirus has led to a reduction in Chinese routes and a sharp drop in travelers, which is forcing further deterioration in performance. In other words, it is not easy to make cash payments that Eastar Jet requires. Some in the low-cost carrier industry say Jeju Air's acquisition of Eastar Jet could be canceled.



For now, Jeju Air maintains that it is not true about the possibility of a takeover bankruptcy being raised in and out of the industry. Jeju Air and Eastar Holdings are scheduled to sign a contract in February, said Jeju Air.



Jeju Air, if it acquires Eastar Jet, will rank third in the aviation industry and allow it to do its economy of scale. In particular, it is possible to expand its market share and strengthen its market leadership as the leading company in the LCC industry.



"We plan to coordinate the terms and contents of the deal through further consultations and finalize the details of the agreement soon," Jeju Air said. "There is a possibility that the schedule will change during the due diligence and progress, but we will disclose the relevant situation if there are any changes."
