JB금융지주(JB금융)가 베트남 모건스탠리 게이트웨이 증권회사(MSGS) 인수를 완료했다.
23일 인수합병(M&A)업계에 따르면 JB금융은 지난 22일 양국 금융당국의 M&A 관련 최종 인가를 받았다. JB금융은 MSGS의 지분 100%에 대한 매매대금 지급을 완료했고, 베트남 증권사를 광주은행 자회사로 편입시켰다.

인수가격은 199억원(지급기준일 환율 적용)이다. JB금융의 계열사는 이번 인수를 통해 손자회사 포함 7개사로 늘어나게 된다.
JB금융은 새로 인수한 MSGS를 통해 국내 투자자를 대상으로 현지 부동산 및 인프라 개발 관련 금융주선 업무에 주력할 계획이다. 현지 기업 대상 전환사채(CB), 신주인수권부사채(BW), 회사채 발행 주선뿐 아니라 인수·합병(M&A) 주선 업무도 제공할 예정이다.

JB금융 측은 "MSGS 자기자본 189억원 대비 1.05배로 성공적인 M&A였다"며 "글로벌 신규 사업을 지속적으로 확대할 게획"이라고 밝혔다.

한편 JB금융은 MSGS 인수로 신남방 지역 핵심국가를 중심으로 금융벨트를 구축하게 됐다. JB금융은 2016년 전북은행을 통해 캄보디아 프놈펜상업은행을 인수했고, 같은해 JB우리캐피탈을 통해 미얀마에 현지 법인을 설립한 바 있다.

JB Financial Group (JB Financial) has completed the acquisition of Morgan Stanley Gateway Securities Company (MSGS) in Vietnam.
According to the M&A industry on Sunday, JB Financial received final M&A approval from financial authorities of the two countries on Tuesday. JB Financial completed the payment of the proceeds from the sale of its 100 percent stake in MSGS and incorporated the Vietnamese brokerage into a subsidiary of Kwangju Bank.

The acquisition price is 19.9 billion won (applied by the exchange rate at the base date of payment). The acquisition will increase the number of JB Financial's affiliates to seven, including grandchildren.
Through its newly acquired MSGS, JB Financial plans to focus on local real estate and infrastructure development-related financial mainstay business for local investors. It will provide not only convertible bonds (CB), bond with warrants (BW), and corporate bond issues for local companies, but also arrange mergers and acquisitions (M&As).

"It was a successful M&A 1.05 times more than MSGS equity capital of 18.9 billion won," JB Financial said. "We plan to continue to expand our new global business."
