제주항공의 이스타항공 인수 무산 가능성이 높아지고 있다. 업계 안팎에선 인수 거래 종결 시한을 불과 일주일도 남겨 놓지 않은 상황에서 양측 간 입장차이를 좁히지 않고 있다는 점에 주목하고 있다.

24일 인수합병(M&A)업계에 따르면 제주항공의 이스타항공 인수 거래 종결시한은 29일이다. 그러나 양측의 인수 관련 논의는 사실상 중단된 상태다.
이스타항공이 250억 상당의 임금을 체불한 문제가 발단이 됐다. 제주항공은 이스타항공이 자체적으로 체불 임금을 해결해야 한다는 입장이지만 이스타항공은 제주항공이 인수 후 해결해야 한다고 맞서고 있다.

양측의 선결 조건 이행 여부의 입장차도 크다. 인수 계약서는 이스타항공이 태국 항공사 타이이스타젯의 지급 보증 문제를 계약 종료 전까지 해소하게 돼 있는 것으로 명시돼 있다.

이스타항공은 이와 관련해 "선결 조건 해소를 위해 노력했고 대부분 해결됐다"고 주장하고 있지만 제주항공은 "해결되지 않았다"는 입장이다. 특히 이스타항공이 제주항공과의 사전 협의 없이 26일 신규 이사와 감사를 선임하는 임시 주주총회를 소집한다고 주주들에게 고지한 것이 알려지며 양사의 갈등은 커질 것으로 보인다.

양측 간 입장이 엇갈리고 있는 상황에서 이스타항공 노동조합은 자체 정상화를 요구하고 나섰다. 정부와 여당인 민주당은 이상직 의원을 처벌하고 이스타항공 정상화에 나서야 한다는 주장이다.

이상직 민주당 의원은 이스타항공의 창업주다. 이스타항공 노조는 “이스타항공의 지분 40%가량을 보유한 최대주주 이스타홀딩스는 이 의원의 딸과 아들이 지분 100%를 갖다”며 "경제전문가라고 자칭하는 이상직 의원은 전북 인재를 포함한 1600여명의 이스타항공 노동자를 벼랑으로 내몰고 있다"고 강조했다.

M&A업계 안팎선 이스타항공의 제주항공 인수의 무산 가능성을 제기하고 있다. 일련의 상황을 놓고 봤을때 서로 엇갈리고 있는 입장 차이를 좁히는 것은 쉽지 않을 것이란 게 이유다.

M&A업계 한 관계자는  "제주항공과 이스타항공의 인수 거래 종결 시기까지 남은 시간은 일주일에 불과하다"며 "현재 상황만 놓고 본다면 인수 무산 가능성이 높아진 것은 사실"이라고 말했다. 다만 그는 "제주항공이 아직까지 이스타항공의 M&A 인수 의지를 보이고 있는 만큼 가능성도 배제할 수는 없다"고 분석했다.

Jeju Air's acquisition of Eastar Jet is likely to fail. Industry insiders and outsiders are paying attention to the fact that the gap between the two sides has not narrowed with less than a week left before the deadline to close the acquisition deal.



According to the M&A industry on Monday, the deadline for Jeju Air's acquisition of Eastar Jet is the 29th. However, the two sides have virtually stopped discussing the acquisition.
Eastar Jet's delayed payment of 25 billion won worth of wages has been the source. Jeju Air is in a position that Eastar Jet should resolve its own overdue wages, but Eastar Jet is arguing that Jeju Air should resolve them after the acquisition.



There is also a wide gap between the two sides over whether to implement the pre-determined conditions. The acquisition contract states that Eastar Jet is supposed to resolve the payment guarantee issue of Thai airline Thai Tystazet before the end of the contract.


Eastar Jet claims that it has made efforts to resolve the pre-emptive conditions and that most of them have been resolved, but Jeju Air says they have not been resolved. In particular, the conflict between the two companies is expected to escalate as Eastar Jet notified shareholders that it will convene an extraordinary shareholders' meeting on the 26th to appoint new directors and auditors without prior consultation with Jeju Air.



With the two sides at odds, Eastar Jet's labor union has called for its own normalization. The government and the ruling Millennium Democratic Party argue that Lee Sang-jik should be punished and that Eastar Jet should be normalized.



Lee Sang-jik of the Democratic Party is the founder of Eastar Jet. "Esta Holdings, the largest shareholder of Eastar Jet with a 40 percent stake in Eastar Jet, has a 100 percent stake in Lee's daughter and son," the Eastar Airlines union said. "Lee Sang-jik, who calls himself an economic expert, is pushing 1,600 Eastar Airlines workers, including North Jeolla Province talents, to the brink."



The M&A industry is raising the possibility of the failure of Eastar Jet's acquisition of Jeju Air. Given the series of situations, it will not be easy to narrow the gap between the two sides.



"We only have a week left until the end of the acquisition deal between Jeju Air and Eastar Jet," an M&A industry source said. "Considering the current situation, the possibility of the acquisition being canceled has increased." However, he analyzed, "The possibility cannot be ruled out as Jeju Air is still showing its willingness to acquire Eastar Jet's M&A."
