제주항공이 이스타항공의 인수합병(M&A)에 나서지 않는다. 항공업계 안팎에서 M&A철회 가능성은 꾸준히 언급돼 왔지만 제주항공이 철회 의사를 직접적으로 밝힌 것은 처음이다.

26일 M&A업계에 따르면 제주항공은 지난 23일 "인수를 강행하기에는 제주항공이 짊어져야 할 불확실성이 너무 크다”며 “이스타항공과의 주식매매계약을 해제한다”고 밝혔다. 제주항공의 M&A 철회에 대해 이스타항공은 반발하고 있다. 일방적인 파기를 인정하지 못한다는 것이다.

이스타항공은 같은 날 이날 입장문을 통해 “제주항공의 발표는 주식매매계약을 위반하는 것"이라며 "제주항공은 계약을 해제할 권한이 없다”고 맞섰다.

계약 위반 및 불이행으로 인한 모든 책임은 제주항공에 있는 만큼 손해배상 소송도 제기할 수 있다는 경고도 했다.

제주항공 측도 이미 지급한 계약금 110억 원의 반환 소송을 진행한다는 방침이다. 제주항공은 그동안 최고 경영자간 통화 내용이나 회의록 등이 비밀로 유지하기로 한 내용이 외부로 유출 된 일들을 거론하며 계약 파기의 책임이 이스타항공에 있다고 주장해왔다.

제주항공 입장에선 억울한 측면도 없지 않다는 게 업계의 평가다. 제주항공은 코로나19 이후 유동성 위기에 직면해 있다. 올해 1분기 영업손실 657억원을 기록한 데 이어 2분기에는 적자 폭이 더 커질 전망이다.

국토교통부는 양측 입장을 접한 이후 브리핑을 통해 “이스타항공의 경영정상화는 매우 불투명 하지만, 이스타항공이 ‘플랜B’를 가져오면 지원방안을 적극 검토하겠다”고 밝혔다. 그러나 이스타항공은 마땅한 방안마련이 어렵다는 입장이다. 인수 하나만 보고 왔던 만큼 준비할 수 있는 게 없다는 것이다. 업계 안팎에선 정부가 이스타항공을 도와주고는 싶지만 특혜 논란 및 재원 마련 등의 문제가 발생할 수 있어 이스타항공에게 먼저 자구안을 요구한 것이라는 의견이 나온다.

그도 그럴 것이 제주항공이 이스타항공의 인수를 포기한다는 의사를 밝히자 저비용항공업계로 대량실직 관련 공포감이 확대되고 있다. 성수기인 여름 휴가철에도 예년과 같은 실적을 기대하기 힘들고 정부의 고용유지지원금 지원기한(연 180일) 만료가 임박해 대부분의 항공사가 8월 이후 지원금을 받을 수 없게 된 만큼 대규모 실업 대란이 발생할 수 있기 때문이다.

지난 22일 LCC 사장단은 국회를 찾아 고용유지지원금의 지원 연장을 통해 대량실업과 항공산업 붕괴를 막아달라고 호소하기도 했고, 정부는 LCC 업계의 추가 지원 방안을 협의하고 있는 것으로 알려졌다.

M&A업계 관계자는 "제주항공의 이스타항공 인수 포기 가능성은 꾸준히 언급돼왔다"며 "코로나19 이후 업황 자체가 좋지 않은 상황에서 현대산업개발의 아시아나항공 인수까지 불똥이 튈 수 있을 것"이라고 말했다. 이어 "LCC업계를 시작으로 항공업계 전반에 대량실직 위기감이 확대되고 있어 정부의 대책 마련이 필요해 보인다"고 말했다.

Jeju Air will not engage in M&A with Eastar Jet. The possibility of M&A withdrawal has been steadily mentioned in and out of the airline industry, but it is the first time that Jeju Air has directly expressed its intention to withdraw.

According to the M&A industry on the 26th, Jeju Air said on the 23rd, "There is too much uncertainty that Jeju Air has to bear in order to push ahead with the acquisition," adding, "We will cancel the stock trading contract with Ista Airlines." Eastar Jet is protesting Jeju Air's withdrawal of M&A. They say that they cannot accept unilateral revocation.

Eastar Jet responded in a statement on the same day, saying, "Jeju Airlines' announcement violates the stock trading contract," and "Jeju Airlines has no authority to cancel the contract."

He also warned that Jeju Air could file a lawsuit for damages as all responsibility for the breach and default of the contract lies with Jeju Air.

Jeju Air also plans to file a lawsuit to return 11 billion won in down payment. Jeju Air has claimed that Eastar Jet is responsible for the cancellation of the contract, citing the leak of phone conversations between top executives and minutes of meetings.

The industry's assessment is that Jeju Air has some unfair aspects. Jeju Air has faced a liquidity crisis since Corona 19. After recording 65.7 billion won in operating losses in the first quarter of this year, the deficit is expected to grow further in the second quarter.

The Ministry of Land, Infrastructure and Transport said in a briefing after hearing the two sides' positions that "Esta Airlines' management normalization is very uncertain, but we will actively consider supporting measures if Eastar Jet brings Plan B." Eastar Jet, however, says it is difficult to come up with a proper plan. They say that there is nothing they can prepare as they have only seen the acquisition. Some in and outside the industry say that the government wants to help Eastar Jet, but that it has asked Eastar Jet for a self-rescue plan first because it could cause problems such as preferential treatment and funding.

As Jeju Air has expressed its intention to give up its acquisition of Eastar Jet, fears over mass unemployment are growing in the low-cost airline industry. This is because it is difficult to expect the same performance as the previous year during the peak summer vacation season and most airlines are unable to receive subsidies after August due to the imminent expiration of the government's employment support fund (180 days a year).

On the 22nd, LCC presidents visited the National Assembly and appealed to the National Assembly to prevent mass unemployment and the collapse of the aviation industry by extending support for employment maintenance funds, and the government is reportedly discussing ways to further support the LCC industry.

An M&A industry source said, "The possibility of Jeju Air giving up on its acquisition of Eastar Jet has been steadily mentioned. After Corona 19, the business situation itself is not good, and Hyundai Industrial Development's acquisition of Asiana Airlines could be affected." He added, "The government seems to need to come up with countermeasures as a sense of crisis of mass unemployment is spreading across the airline industry, starting with the LCC industry."
