미래엔이 완구 콘텐츠 전문기업 영실업을 인수했다. 미래엔은 교육출판전문기업이다. 교육과 완구의 시너지 효과를 바탕으로 사업영역을 확대해나갈 계획인 것으로 알려졌다.

31일 인수합병(M&A)업계에 따르면 미래엔은 지난 27일 홍콩계 사모펀드(PEF) 퍼시픽얼라이언스그룹(PAG)과 영실업의 지분 100%를 인수하기 위한 주식매매계약(SPA) 체결을 완료했다.

지난해 10월부터 진행해 온 영실업 인수 과정을 최종 마무리 한 셈이다. 코로나19 등 외부 환경이 좋지 못한 점을 감안하면 과감한 투자라는 게 업계의 평가다. 미래엔은 교육출판 기업으로서 완구업체와의 시너지 효과를 기대하고 있다.

영실업은 1980년 설립 국내 토종 완구 기업으로 40여년간 자체 완구 캐릭터와 순수 국내기술로 TV 애니메이션을 제작해왔다. '콩순이', '시크릿쥬쥬', '또봇' 등의 지적재산권(IP)을 보유하고 있다.

그러나 경영악화로 지난 2012년 홍콩계 PEF 헤드랜드캐피털에, 2015년에는 또 다른 홍콩계 PEF인 퍼시픽얼라이언스그룹에 매각된 바 있다. 미래엔의 인수로 영실업은 8년 만에 다시 '국내 대표 완구기업'의 명성을 되찾게 됐다.
미래엔은 '국내 최초의 교과서 발행기업'으로 교과서 발행을 비롯해 초·중·고 참고서 및 유아동· 성인 단행본 출판, 인쇄 등 다양한 사업 영역을 보유한 국내 대표 교육출판전문기업이다.

신광수 미래엔 대표이사 "이번 영실업 인수를 통해 사업 저변을 확대하고 유아동 콘텐츠 비즈니스에 새로운 변화를 이끌어 나갈 것"이라며 "교육출판전문기업으로 쌓아온 미래엔의 교육적 식견과 자산이 영실업의 토종 캐릭터 및 콘텐츠와 만나 시너지를 발휘할 수 있을 것으로 기대한다"고 마했다.

MiraeN acquired Youngsts, a toy contents company. MiraeN is an educational publishing company. It is heard that the company plans to expand its business area based on the synergy effect of education and toys.



According to the M&A industry on the 31st, MiraeN completed the signing of a stock trading contract (SPA) on the 27th to acquire a 100% stake in Hong Kong-based private equity fund (PEF) Pacific Alliance Group (PAG) and Youngests.


In other words, the acquisition process of Youngsts, which has been underway since October last year, has been finalized. Considering that the external environment such as Corona 19 is not good, industries say that it is a bold investment. MiraeN, as an educational publishing company, expects synergy with toy companies.



Established in 1980, Youngsts is a native Korean toy company that has produced TV animation with its own toy characters and pure domestic technology for more than 40 years. It holds intellectual property rights (IP) such as "Kongsuni," "Secret Joujuji" and "Tobot."



However, it was sold to Hong Kong-based PEF Headland Capital in 2012 and to Pacific Alliance Group, another Hong Kong-based PEF, in 2015. With MiraeN's acquisition, Youngsters has regained its reputation as a 'representative toy company in Korea' after eight years.
MiraeN is the "first textbook publisher in Korea" and is a leading educational publishing company in Korea that has various business areas such as publishing textbooks, elementary, middle, and high school reference books, publishing and printing books for children and adults.



Shin Kwang-soo, CEO of MiraeN, said, "We will expand the base of our business through the acquisition of Youngsts and lead a new change in the infant content business," adding, "We expect MiraeN's educational knowledge and assets accumulated as an educational publishing company to meet with Youngsts' native characters and contents to create synergy."
