미국의 제약사 브리스톨 마이어스 스큅(BMS)이 심장약 전문 바이오 의약업체 마이오카디아를 131억달러(약 15조원)에 인수, 사업영역 확대와 함께 브랜드 경쟁력 확대에 나선다. 코로나19로 인해 경제 상황이 좋지 않은 가운데 제약업체의 대규모 투자라는 점에서 업계의 주목을 받고 있다.

7일 인수합병(M&A)업계에 따르면 월스트리트저널 등 해외 주요 언론은 지난 5일(현지시간) BMS가 이날 심장병 치료약을 개발하는 마이오카디아를 흡수해 심혈관 질환 부문을 강화할 목적으로 지분을 매수하기로 했다고 보도 했다. 합병은 두 회사의 이사회에 의해 만장일치로 승인됐으며 올해 4분기 안에 완료될 것으로 예상되고 있다.

인수대금으로는 1주당 225달러를 현금으로 지불한다. 경영권 프리미엄을 감안하더라도 마이오카디아의 2일 종가인 139.6달러보다 약 61% 높은 금액이다. 공격적 인수라는 얘기다.

마이오카디아는 심각한 심혈관질환 치료를 위한 표적 치료제를 발굴하고 개발하는 임상단계 바이오제약회사다. BMS는 이번 인수로 마이오카디아가 개발한 폐쇄 비대 심장근육병 치료신약 '마바캄텐'(Mavacamten)을 확보하게 됐다. 회사 측은 내년 중 미국 FDA에 '마비캄텐'의 시판승인을 신청할 계획이다.

임상시험에서 마바캄텐은 1차 및 모든 2차 평가변수를 충족시켰으며 심장 혈류 폐쇄를 감소시킴으로써 증상, 기능적 상태, 삶의 질을 의미 있게 개선시켰다.

BMS는 향후 비폐색성 비대성 심근병증을 비롯해 추가적인 적응증에 대해 마바캄텐의 잠재력을 완전히 조사해 임상단계 치료제 후보물질 다니캄티브(danicamtiv, MYK-491), MYK-224 같은 마이오카디아의 다른 유망한 파이프라인 후보물질도 개발할 계획이다. BMS는 경구용 항응고제 엘리퀴스(아픽사반)를 포함한 심혈관 포트폴리오를 보유중이다.

조반니 카포리오 BMS 최고경영자(CEO) 겸 회장은 “마이오카디아 인수는 자사의 포트폴리오, 파이프라인, 과학적 역량을 더욱 강화하며 의미 있는 중장기 성장 동력을 추가할 것으로 예상된다"며 "심혈관질환 환자의 상당한 미충족 의료 수요를 해결할 수 있는 유망한 의약품인 마바캄텐 추가를 통해 우수한 심혈관 사업을 더욱 강화하고 있다”고 말했다. 이어 "마이오카디아가 정밀의학 접근법을 통해 심혈관 치료를 혁신하기 위해 해온 일에 오랫동안 감탄해왔다"며 "마이오카디아의 재능 있는 팀을 우리 회사로 맞이하길 기대한다”고 말했다.

BMS, a U.S. pharmaceutical company, acquired MyoKardia, a bio-medicine company specializing in heart medicine, for $13.1 billion (about 15 trillion won) and is planning to expand its brand competitiveness along with expanding its business scope. Corona 19 has drawn attention from the industry in that it is a massive investment by pharmaceutical companies amid unfavorable economic conditions.



According to the M&A industry on the 7th, major foreign media including the Wall Street Journal reported on the 5th (local time) that BMS decided to buy shares in order to strengthen the cardiovascular disease sector by absorbing MyoKardia, which is developing a cure for heart disease. The merger was unanimously approved by the boards of the two companies and is expected to be completed within the fourth quarter of this year.



Payments for the acquisition are $225 a week in cash. Even considering the management premium, the amount is about 61 percent higher than MyoKardia's closing price of 139.6 dollars. In other words, it is an aggressive takeover.



MyoKardia is a clinical-stage bio that discovers and develops targeted therapies for the treatment of severe cardiovascular diseases.BMS has secured a new drug called "Mavacamten," which was developed by Myocardia. The company plans to apply to the U.S. FDA for marketing approval of "Mabicampton" sometime next year.



In clinical trials, Mavacamten met the primary and all secondary parameters and significantly improved the symptoms, functional conditions and quality of life by reducing heart blood flow closures.



The BMS plans to fully investigate the potential of Marbacampton for further indications, including non-clogic hypertrophy, and develop other promising pipeline candidate materials for MyoKardia such as clinical-stage treatment candidate Danicamtiv (MYK-491) and MYK-224 in the future. BMS has a portfolio of cardiovascular systems including oral anticoagulant Ellipticus (Apixavan).



"The acquisition of MyoKardia is expected to further strengthen its portfolio, pipeline and scientific capabilities and add meaningful mid- to long-term growth engines," BMS CEO and chairman Giovanni Caporio said. "We are further strengthening our superior cardiovascular business by adding Marvacamten, a promising drug that can address the significant unfulfilled medical needs of patients with cardiovascular diseases." "I have long admired what MyoKardia has done to innovate cardiovascular care through a precision medicine approach," he said. "I look forward to welcoming myoKardia's talented team to our company."
