아시아나항공과 HDC현대산업개발 간 인수합병 불발에 따른 소송전의 막이 올랐다. 10일 M&A업계에 따르면 아시아나항공과 모회사인 금호산업은 지난 5일 HDC현대산업개발을 상대로 계약금 몰취 소송을 서울중앙지방법원에 제기했다.
아시아나항공과 금호산업이 계약금 2500억원의 담보를 해지해달라는 취지에서다. HDC현대산업개발은 아시아나항공 인수를 위해 아시아나항공과 금호산업에 각각 2177억원과 323억원을 계약금으로 낸 바 있다. 계약금은 에스크로 계좌에 질권 설정돼 있어 일방적인 인출은 불가능하다.
지난해 11월 시작된 HDC현대산업개발의 아시아나항공 인수 협상은 올해 9월 무산됐다. 이후 양측은 계약금을 두고 갈등을 빚어왔다. 당초 HDC현대산업개발이 계약금 반환 소송을 먼저 제기할 것으로 예상됐지만 아시아나항공이 먼저 법적 대응에 나섰다. HDC현대산업개발이 인수 의지가 없어 계약이 해제 된 만큼 계약금을 반환할 수 없다는 것이다.
아시아나항공이 몰취 소송을 제기하자 HDC현대산업개발도 즉각 대응에 나섰다. 아시아나항공이 지난 6일 금호리조트를 포함한 종속회사 매각을 추진한다고 발표를 하자 제동을 걸었다. 동의 없이 매각을 해서는 안된다는 것이다. HDC현대산업개발이 아시아나항공과 종속회사에 대한 인수의지는 변함이 없다는 점을 강조하기 위한 일환으로 보인다.
HDC현대산업개발은 코로나19와 금호산업 계열사 간 부당한 지원 등이 문제시되는 상황에서 재실사 거부에 따른 인수 무산이라는 점을 강조하고 있다.
인수 무산 책임은 금호산업에 있다는 것이다. HDC현대산업개발은 인수 무산의 원인은 금호산업 등이 제대로 제공하지 않은 만큼 계약금을 돌려받아야 한다는 입장이다.
M&A업계 관계자는 "계약 무산이라는 상황을 놓고 약측은 전혀 상반된 입장을 펼치고 있다"며 "계약금이 적지 않은 상황에서 치열한 법적 다툼이 이뤄질 것으로 보인다"고 말했다.

The legal battle between Asiana Airlines and HDC Hyundai Industrial Development has begun. According to the M&A industry on the 10th, Asiana Airlines and its parent company Kumho Industrial filed a lawsuit against HDC Hyundai Industrial Development Co. with the Seoul Central District Court on the 5th.
Asiana Airlines and Kumho Industrial are asking for the termination of 250 billion won in security deposit. HDC Hyundai Industrial Development Co. had paid 217.7 billion won and 32.3 billion won, respectively, to Asiana Airlines and Kumho Industrial Co. for the acquisition of Asiana Airlines. The deposit is set in the escrow account, so one-sided withdrawal is impossible.
HDC Hyundai Industrial Development Co.'s negotiations to acquire Asiana Airlines, which began in November last year, fell through in September this year. Since then, the two sides have been at odds over the down payment. Initially, HDC Hyundai Industrial Development was expected to file a lawsuit for the return of the deposit first, but Asiana Airlines first took legal action. They say that HDC Hyundai Industrial Development Co. cannot return the deposit as the contract was canceled due to its lack of willingness to acquire it.
When Asiana Airlines filed a lawsuit against the company, HDC Hyundai Industrial Development Co. immediately responded. Asiana Airlines put the brakes on its announcement on the 6th that it will push for the sale of its subsidiaries, including Kumho Resort. They say that the sale should not be made without consent. HDC Hyundai Industrial Development Co. is seen as part of its efforts to emphasize that its willingness to acquire Asiana Airlines and its subsidiaries remains unchanged.
HDC Hyundai Development Co. stresses that it is a failure to acquire Korona 19 and Kumho Industrial Co.'s affiliates due to their refusal to re-examine them at a time when unfair support between them is being raised.
Kumho Industrial is responsible for the failure of the takeover. HDC Hyundai Development Co. says that the reason for the failure of the acquisition is that Kumho Industrial Co. and others did not provide the deposit properly, so the deposit should be returned.
An M&A industry source said, "The two sides are completely at odds over the failure of the contract," adding, "We expect a fierce legal battle to take place at a time when the deposit is not small."
