영국 제약사 아스트라제네카가 미국 제약사 '알렉시온 파마슈티컬스(알렉시온)'을 인수한다.

14일 인수합병(M&A)업계에 따르면 지난 12일(현지시각) 로이터통신은 아스트라제네카가 알렉시온을 390억 달러(현금+주식)에 인수하기로 했다고 합의했다고 보도했다. 올해 이뤄진 글로벌 제약기업 M&A합병 중 가장 큰 규모다.

아스트라제네카는 알렉시온의 주식 1주당 현금 60달러와 115달러 상당의 자사 주식을 주주들에게 지불한다. 지난 한달간 알렉시온 평균 주가 대비 40% 가량의 경영권 프리미엄을 더한 금액이다. 양사는 주주의 승인을 받고 규제 당국의 검토를 마친 뒤 내년 3·4분기쯤 인수를 완료할 것으로 기대하고 있다.

아스트라제네카는 종양학, 심혈관, 신장 및 신진대사, 호흡기 질환 분야의 장기 보호 관련 전문 제약사다. 면역학 연구와 면역 매개 질환을 위한 의약품 개발에 초점을 맞추고 있다. 최근 옥스퍼드대와 공동으로 신종 코로나바이러스 감염증(코로나19) 백신을 개발, 미국 식품의약청(FDA)을 비롯해 각국에 백신 긴급사용승인 요청도 앞두고 있다.

파스칼 소리오 아스트라제네카 최고경영자(CEO)는 M&A 관련 성명서를 통해 "알렉시온은 희귀질환 환자의 삶에 변화를 가져다줄 것"이라고 밝혔다.

그도 그럴 것이 알렉시온은 광범위한 면역 매개 희귀 질환에 대한 보체 억제제를 개발해온 글로벌 대표 제약사다. 파이프라인으로 C5 억제제 계열 희귀질환 치료제 ‘솔리리스’(Soliris 에쿨리주맙)가 포함되어 있다. 솔리리스는 세계에서 비싼약 중 하나로 발작성야간혈색뇨증(PNH), 비정형 용혈성요독증후군과 중증근무력증 등에 사용된다.

알렉시온은 최근 보다 편리한 복용법을 가진 2세대 C5 단클론 항체 발작성야간혈색뇨 치료제 '울토미리스'(Ultomiris 라불리주맙-cwvz)를 선보이기도 했다.

알렉시온은 면역 관련 제약 생산을 통해 2019년 50억 달러(전년 대비 21% 증가)의 매출을 올리는 등 최근 몇 년간 괄목할 만한 매출 성장을 달성했다. 미국, 일본, 독일 등 주요 시장에서 출시 2년도 안돼 PNH 환자의 70% 이상이 솔리리스에서 울토미리스로 전환되는 등 향후 매출 확대 가능성도 충분하다.

아스트라제네카는 알렉시온이 개발 중인 약물들이 자가면역질환 뿐만 아니라 일반적인 질병에도 효과가 있을 것으로 기대하고 있다. 미국 내 기반이 약화하고 있는 자사의 종양학 부문 재건에 나설 계획도 세운 것으로 전해진다.

M&A업계 한 관계자는 "아스트라제네카의 알렉시온 인수는 면역부문 및 백신 등 포트폴리오 확대 시너지 효과를 바탕으로 희귀난치성 질환 치료 시장 지배력 상승의 원동동력이 될 것으로 보인다"고 말했다.

British pharmaceutical company AstraZeneca is taking over U.S. pharmaceutical company 'Alexion Pharmacetics (Alexion).

According to M&A industry on the 14th, Reuters reported on the 12th (local time) that AstraZeneca agreed to buy Alexion for $39 billion (cash plus shares). It is the largest merger of global pharmaceutical companies that took place this year.

AstraZeneca pays shareholders its shares worth $60 in cash and $115 per share of Alexion. The amount is 40 percent more than the average share price of Alexion over the past month. Both companies expect to complete the acquisition in the third and fourth quarters of next year after receiving shareholder approval and completing regulatory review.

AstraZeneca is an expert pharmaceutical company in oncology, cardiovascular, kidney and metabolism, and organ protection related to respiratory diseases. The focus is on immunological research and the development of medicines for immune-mediated diseases. The company has recently developed a new coronavirus vaccine (Corona 19) with Oxford University, and is about to ask countries including the U.S. Food and Drug Administration (FDA) to approve the use of the vaccine.

"Alexion will bring changes to the lives of patients with rare diseases," said Pascal Sorio AstraZeneca, CEO of AstraZeneca, in an M&A-related statement.

No wonder Alexion is a leading global pharmaceutical company that has been developing body inhibitors for a wide range of immune-mediated rare diseases. The pipeline includes Soliris Ekulizumab, a C5 inhibitor-based treatment for rare diseases. Soliris is one of the most expensive medicines in the world and is used for PNH, atypical hemolytic dyslexia syndrome and severe work force disorder.

Alexion recently introduced the second-generation C5 short-clone antibody seizures, "Ultomiris Labulizumab-cwvz," which has a more convenient method of taking.

Alexion has achieved remarkable sales growth in recent years, with sales of $5 billion (21 percent year-on-year) in 2019 through the production of immuno-related pharmaceuticals. In major markets such as the U.S., Japan, and Germany, more than 70 percent of PNH patients will switch from Soliris to Ultomiris within two years of its launch, and there is a good chance that sales will expand in the future.

AstraZeneca expects the drugs that Alexion is developing to work not only for autoimmune diseases but also for general diseases. It is said that the U.S. plans to rebuild its oncology sector, which is weakening its foundation in the U.S.

"Astrageneca's acquisition of Alexion is expected to be the driving force behind the rise in the market's dominance in the treatment of rare and incurable diseases based on synergy effects in expanding its portfolio, including the immune sector and vaccines," said an M&A industry source.
