(DH)에 국내 1위 배달 애플리케이션(앱) ‘배달의민족(배민)’을 인수하려면 자회사 ‘요기요’를 매각하라는 조건부 합병 승인 결정을 받아들이기로 했다.


공정위는 29일 DH가 요기요 지분 100%를 매각하는 조건으로 배민 인수를 승인한다는 기업결합 심사 결과를 확정했다. 양사의 합병이 이뤄질 경우 음식점, 소비자, 라이더(배달원) 등 배달앱 플랫폼이 매개하는 다면 시장의 다양한 이해관계자에게 전방위적으로 미치는 경쟁제한 우려가 크다는 판단에서다.


공정위에 따르면 배달앱 시장에서 DH와 배민의 거래금액 비중은 2019년 한 해 99.2%, 올해 7월에는 96.6%에 달한다. DH는 최근 ‘쿠팡이츠’가 빠르게 성장하는 만큼 경쟁이 유지될 수 있다는 점을 강조했지만 공정위는 이를 받아들이지 않았다.


공정위는 "양사의 점유율 합계가 2019년도 거래금액 기준 99.2%로 1위이고, 2위인 카카오 주문하기와의 격차가 25% 이상으로 경쟁제한성이 추정된다"며 "과거 5년간 5% 이상의 점유율을 확보한 경쟁앱이 없었고, 쿠팡이츠가 성장하고는 있지만 경쟁압력으로 작용할 수 있다는 근거가 충분하지 않다"는 입장을 유지하며 요기요 매각에 따른 조건부 승인 결정을 확정했다.


공정위가 제시한 요기요 매각 기한은 6개월이다. DH는 해당 기간 동안 DH코리아 지분 전부를 제3자에 팔아야 한다. 불가피한 사정이 인정되면 최대 6개월까지 매각 기간을 연장할 수 있다. DH는 지난해 12월 배민 운영사 우아한형제들의 지분 88%를 40억 달러(약 4조4000억 원)에 취득한다는 계약을 맺은 바 있다.


공정위는 지분 매각을 완료할 때까지 요기요 서비스 품질 등 경쟁력 저하를 막기 위해 현재 상태를 유지하라는 명령도 내렸다.
배달의 민족 인수 후에도 DH가 보유한 배달통 등 다른 배달앱을 독립적으로 운영하도록 했으며, 음식점에 적용하는 실질 수수료율도 바꿀 수 없다. 소비자에게 매년 전년 동월 이상의 프로모션 금액을 써야 하고 배달원의 근무 조건을 불리하게 바꾸거나 정보자산(음식점 DB)을 이전하거나 공유해서도 안된다는 조건을 달았다.


DH는 공정위의 결정에 대해 “인수합병(M&A)을 위해 딜리버리히어로 코리아(요기요)를 매각해야만 하는 어려운 결정을 내려야 하는 점은 매우 유감이지만 공정위의 결정을 존중한다"는 입장을 내놓았다. 요기요를 매각하겠다는 얘기다. 지난달 공정위의 조건부 매각 권고 당시 '동의 할 수 없다'고 반발한 것과는 다른 모습이다. 요기요 매각에 따른 합병 진행이 이익이 될 것으로 판단한 것으로 보인다.


M&A업계 관계자는 "요기요의 배달 시장 내 18% 가량의 점유율 등을 고려하면 몸값이 2조원을 넘어설 것으로 예상된다"며 "합병을 통한 시장점유율 확대 등 시너지 효과를 거두기는 어렵겠지만 요기요 매각으로 인해 후발 업체와 경쟁 구도가 크게 변하지 않는다는 점, 최소 2조원 이상의 매각대금 회수를 차선책으로 선택한것 같다"고 말했다.

It is going to sell Yogiyo, a delivery app operated by Delivery Hero (DH) in Germany. The Fair Trade Commission has decided to accept a conditional merger approval decision to sell its subsidiary "Yogiyo" to acquire Korea's No. 1 delivery application ( app) "Baemin" to Germany's Delivery Hero (DH).



On the 29th, the Fair Trade Commission confirmed the results of the corporate combination review that DH will approve the acquisition of Baemin on the condition that it will sell its 100% stake in Yogiyo. If the merger between the two companies is carried out, there is a high concern about competition restrictions on various stakeholders in the market if delivery app platforms such as restaurants, consumers, and riders are mediated.



According to the Fair Trade Commission, the portion of transactions between DH and Baemin in the delivery app market reached 99.2 percent in 2019 and 96.6 percent in July this year. DH recently stressed that competition can be maintained as Coupang Eats is growing fast, but the FTC did not accept it.



The Fair Trade Commission confirmed the conditional decision, maintaining that "the combined share of the two companies is 99.2 percent in 2019, the gap with Kakao Order, the second-largest, is estimated to be more than 25 percent. There was no competitive app that secured more than 5 percent share over the past five years, but there is not enough evidence to act as competitive pressure."



The deadline for the sale of Yogiyo proposed by the FTC is six months. DH is required to sell its entire stake in DH Korea to a third party during the period. If inevitable circumstances are recognized, the sale period can be extended up to six months. Last December, DH signed a contract to acquire 88% of the Baemin's Elegant Brothers for 4 billion dollars.



The Fair Trade Commission also ordered the company to maintain its current status to prevent its competitiveness from deteriorating, such as quality of Yogiyo services, until the stake sale is completed.
Even after the acquisition of Baedal's ethnicity, other delivery apps such as delivery boxes owned by DH were allowed to operate independently, and the actual commission rate applied to restaurants cannot be changed. The condition was that consumers should spend more than the same month each year on promotions and that they should not be allowed to transfer or share information assets (restaurant DBs) unfavorably.



Regarding the FTC's decision, DH said, "It is very regrettable that we have to make a difficult decision to sell delivery hero Korea (Yogiyo) for M&A, but we respect the FTC's decision." This means that Yogiyo will be sold. This is different from the fact that the commission protested last month's recommendation for the conditional sale, saying it could not agree. It seems that the merger process following the sale of Yogiyo will be profitable.



"Considering the 18 percent share of Yogiyo's delivery market, it is expected that the price will exceed 2 trillion won," an M&A official said. "It will be difficult to achieve synergy effects such as expanding market share through the merger, but the sale of Yogiyo will not change the competition much."
