마이크로소프트(MS)가 인공지능(AI)·음성인식기술 기업 뉘앙스 커뮤니케이션스를 전격 인수한다. 뉘앙스 커뮤니케이션스는 애플 아이폰에 적용된 음성인식 기술 시리의 개발사다. 

13일 M&A업계에 따르면 월스트리트저널 등 외신을 종합하면 MS는 지난 12일(현지 시각) 뉘앙스 커뮤니케이션스와 인수합의를 결정했다. 인수대금은 18조원이며, 부채까지 포함할 경우 22조원을 훌쩍 넘어선다. 인수 금액 기준 MS가 2016년 인수했던 링크드인 이후 역대 최대 규모의 M&A다.  MS의 뉘앙스 커뮤니케이션 주당 인수가는 56달러로 전액 현금 지급하기로 했다. 지난 9일 기준 뉘앙스 커뮤니케이션 종가 기준 23%가량이 경영권 프리미엄이 붙었다. 

뉘앙스 커뮤니케이션은 1992년 설립된 회사다. 애플의 음성인식 소프트웨어 시리에 사용되고 있는 곳으로 삼성전자가 지난 2014년 사모펀드 업체와 인수 시도에 나선 것으로 유명해진 곳이다. 

MS의 뉘앙스 커뮤니케이션 인수는 아마존의 '알렉사', 구글의 '구글 어시스턴트' 등 음성인식 비서 서비스 경쟁이 치열해지는 시대적 상황이 반영된 것으로 보인다. MS는 코타나라는 소비자용 음성 비서 서비스를 선보였지만 별다른 성과를 거두지 못하고 스마트폰 앱 지원 중단과 함께 기업용 소프트웨어 지원에 주력하고 있다. 경쟁사들과 견줄만한 서비스 경쟁력 확보 차원에서 이뤄졌다는 분석이다. 

외신들은 MS가 의료용 AI 서비스 진출을 위한 움직임이란 전망도 내놓고 있다. 뉘앙스 커뮤니케이션이 의료 관련 AI 서비스 제공을 하고 있기 때문이다. 코로나19 등으로 비대면 문화가 확대되고 있는 상황에서 의료용 AI 서비스는 황금알을 낳는 거위가 될 수 있다. MS는 최근 헬스케어 부문의 클라우드 관련 사업을 강화하고 있어 가능성을 높이고 있다. 

M&A업계 관계자는 "MS의 뉘앙스 커뮤니케이션 인수는 올해 초 이뤄진 대형 글로벌 M&A"라며 "AI 음성인식 및 의료 관련 서비스에 대한 중요성이 커지고 있는 만큼 올해 IT 기업 간 M&A가 활발해질 것으로 예상된다"고 말했다.

Microsoft (MS) is going to take over Nuance Communications, an artificial intelligence (AI) and voice recognition technology company. Nuance Communications is a developer of Siri, a voice recognition technology applied to Apple iPhones.

According to the M&A industry on the 13th, Microsoft decided to sign a merger and acquisition agreement with Nuance Communications on the 12th (local time). The acquisition amount is 18 trillion won, and if it includes debt, it will easily exceed 22 trillion won. This is the largest M&A ever since LinkedIn, which MS acquired in 2016. Microsoft's acquisition price per share of Nuance Communication will be $56, which will be paid in full cash. As of the 9th, about 23% of the closing price of nuance communication was given a management premium.

Nuance Communication was established in 1992. It is used in Apple's voice recognition software Siri, and it has become famous for Samsung Electronics' attempt to acquire a private equity fund company in 2014.

Microsoft's acquisition of nuance communication seems to reflect the fierce competition in voice recognition secretarial services such as Amazon's "Alexa" and Google's "Google Assistant." Although it introduced voice secretarial services for consumers, it is focusing on supporting enterprise software along with discontinuing support for smartphone apps. It is analyzed that this was done in order to secure competitive edge in services that are comparable to competitors.

Foreign media are also predicting that MS is moving to enter medical AI services. This is because Nuance Communication is providing medical-related AI services. Medical AI services can be a goose that lays golden eggs at a time when the non-face-to-face culture is expanding to Korona19. MS is increasing its potential as it is strengthening cloud-related businesses in healthcare.

An M&A industry official said, "MS' acquisition of nuance communication is a large global M&A early this year. As the importance of AI voice recognition and medical services is growing, M&A between IT companies is expected to be active this year."
