JB금융그룹이 베트남 증권사 '모건스탠리 게이트웨이(MSGS)'를 인수하기 위한 주식 매매 계약을 체결했다고 16일 밝혔다. 인수합병은 100% 지분 인수 형태를 이뤄지며, 정확한 인수금액은 밝히지 않았다.
JB금융에 따르면 모건슨탠리 게이트웨이 증권사는 모건스탠리가 소유한 베트남 증권사다. 2006년 설립됐으며 베트남 하노이에 위치해 있다. 자본금은 약 150억원이다. 베트남 증권사 인수가 마무리되면 JB금융 계열사는 총 7개사로 증가하게 된다.
JB금융지주는 양국 감독당국의 승인을 거쳐 내년 초 본격적으로 현지 사업에 나설 예정이다.
JB금융지주는 베트남 증권사 인수를 통해 베트남에서 국내 투자자 등을 대상으로 현지 부동산 및 인프라 개발 관련 금융주선 업무에 주력한다는 계획이다. 현지 기업 대상 전환사채(CB), 신주인수권부사채(BW), 회사채 발행, 인수합병(M&A) 주선 업무를 제공하고, 이 과정서 그룹차원의 시너지 창출도 모색한다.
JB금융은 베트남 모건스탠리 게이트웨이를 인수함에 따라 캄보디아·미얀마·베트남을 거점으로 '동남아시아 금융벨트'를 구축하게 됐다.
특히 지방금융그룹 중 가장 먼저 해외에서 은행·캐피탈·증권 등 금융 전반을 아우르는 종합금융 체제를 갖추게 됐다는 게 JB금융 측의 설명이다. JB금융은 2016년 자회사인 전북은행을 통해 캄보디아 프놈펜상업은행(PPCBank)을 인수, 같은 해 JB우리캐피탈을 통해 미얀마에 현지 법인을 설립한 바 있다.
김기홍 JB금융 회장은 "최근 국내 금융업계 경쟁이 치열해지고 성장세가 둔화되고 있기 때문에, 해외 시장 진출로 그룹 수익원을 다각화함과 동시에 미래 수익 창출을 위해 베트남 증권사를 인수하게 됐다" 며 "증권사 편입이 그룹의 새로운 도약을 위한 성장동력이 될 것으로 기대한다"고 말했다.

JB Financial Group announced on Thursday that it has signed a stock deal to acquire Vietnam's Morgan Stanley Gateway (MSGS). The merger takes the form of a 100 percent stake, and does not disclose the exact amount of the acquisition.
According to J.B. Financial, Morgan Thanligaway is a Vietnamese brokerage owned by Morgan Stanley. It was established in 2006 and is located in Hanoi, Vietnam. The capital is about 15 billion won. Once the acquisition is completed, the number of JB's financial affiliates will increase to seven.
JB Financial Group is planning to start its business in earnest early next year after having approval from the regulators of the two countries.
JB Financial Group plans to focus on financing real estate and infrastructure development in Vietnam for Korean investors by acquiring Vietnamese securities. It is also going to provide businesses with CB (convertible bonds), BW (bond with warrant), bond issue, and M&A (M&A) arrangement and in the process of creating synergy at the group level.
As J.B. took over Vietnam's Morgan Stanley Gateway, it has decided to establish ' Southeast Asia Financial Belt ' with Cambodia, Myanmar, and Vietnam as its main targets.
In particular, J.B. Financial Group is the first local financial group to establish a comprehensive financial system that encompasses banking, capital, and securities. JB Financial acquired the Cambodian Phnom Penh commercial bank (PPCBank) through its subsidiary company Jeonbuk Bank in 2016 and established a local branch in Myanmar through JB Woori Capital in the same year.
" Because of the intensifying competition in the local financial industry and the slowing growth, we have decided to diversify our profit sources through overseas expansion and buy the Vietnamese brokerage house to generate future profits, " said J.B. Financial Group Chairman Kim Ki-hong.
