빙그레가 해태제과 아이스크림 부문을 인수한다. 국내 아이스크림 시장의 점유율 확대와 글로벌 시장 진출 등을 위해 진행됐다.
1일 인수합병(M&A)업계에 따르면 빙그레는 지난달 31일 이사회를 열고 해태제과 자회사 해태아이스크림 인수를 위한 주식매매계약을 체결했다.
빙그레가 인수한 주식은 해태아이스크림 보통주 100%인 100만주다. 인수 금액은 1400억원에 달한다. 해태아이스크림은 해태제과가 지난 1월 아이스크림 사업부를 물적 분할해 신설한 법인이다.
해태아이스크림은 1970년 해태제과의 아이스크림 사업부로 출발해 부라보콘과 누가바 등을 생산하며 2000년대 초까지 빙과업계 1위를 기록한 바 있다. 다만 최근까지 매출 감소세를 보이며 업계 순위는 4위로 쳐졌다.
해태제과는 해태아이스크림 경쟁력 강화를 위해 투자 유치, 전략적 제휴, 지분 매각 등 다양한 방안에 대해 검토했으나 분할 이후 다수 투자자에게서 적극적인 인수를 희망하는 러브콜이 이어져 경영권 매각을 추진해왔다.
빙그레는 해태아이스크림 인수를 통해 주요 아이스크림 시장 1위인 롯데제과 등을 바짝 쫓을 수 있게 됐다.
빙그레는 해태아이크림 인수 배경에 대해 "해태아이스크림이 보유한 부라보콘·누가바·바밤바 등 전 국민에게 친숙한 브랜드를 활용해 기존 아이스크림 사업 부문과 시너지를 낼 수 있을 것으로 기대한다"며 "특히 빙그레 아이스크림 해외 유통망을 통해 글로벌 사업을 더욱 확장할 수 있을 것으로 기대한다"고 밝혔다.
빙그레는 지난달 31일 양수대금 10%(140억원)를 지급한 빙그레는 매매계약상 선행 조건이 모두 충족하면 잔금을 치르고 해태아이스크림의 인수를 마무리할 계획이다. 최종 인수 시기는 세부 사항이 결정된 이후 확정될 것으로 알려졌다.
태제과는 매각을 통해 들어오는 자금을 부채 상환과 과자 공장 신규 설비에 사용할 계획이다. 해태제과 부채 비율은 대폭 낮아질 전망이다. 그간 투자가 미뤄진 생산 라인에도 본격 투자가 가능해져 생산 효율성도 개선할 것으로 기대된다.
한편 빙그레는 해태아이스크림 인수 소식이 알려진 1일 주가는 상한가를 기록했다.

Binggrae takes over Haitai Confectionery and Ice Cream. It was carried out to expand its share of the domestic ice cream market and make inroads into the global market.
According to the M&A industry on the 1st, Binggrae held a board meeting on the 31st of last month and signed a contract to sell shares to take over Haitai Ice Cream, a subsidiary of Haitai Confectionery.
Binggrae's acquisition of 1 million shares, or 100 percent, of Haitai Ice Cream's common stock. The acquisition amounts to 140 billion won. Haitai Ice Cream was established by Haitai Confectionery in January by dividing its ice cream business division into objects.
Haitai Ice Cream started out as the ice cream unit of Haitai Confectionery in 1970 and produced Burabocon and Nugava, ranking first in the ice cream industry until the early 2000s. However, its sales have been on the decline until recently and its ranking in the industry has fallen to fourth place.
Haitai Confectionery has been considering various ways to attract investments, strategic alliances, and stake sales to strengthen its competitiveness in Haitai Ice Cream, but since the split, it has been seeking to sell its management control due to a love call from a number of investors.
Through the acquisition of Haitai Ice Cream, Binggrae will be able to closely follow Lotte Confectionery, the No. 1 major ice cream market.
Regarding the reason behind the acquisition of Haitai Ice Cream, Binggrae said, "We expect to create synergy with the existing ice cream business sector by utilizing all the familiar brands such as Burabocon, Nugava and Babamba that Haitai Ice Cream owns," adding, "We expect to be able to further expand our global business through the overseas distribution network of Binggrae ice cream."
Binggrae, which paid 10 percent (14 billion won) of its water supply on March 31, plans to pay the balance if all the prior terms of the deal are met and complete the acquisition of Haitai Ice Cream. The timing of the final acquisition is expected to be finalized after details are decided.
Taeje Corp. plans to use the funds coming through the sale to pay off debts and install new snack factories. The ratio of Haitai Confectionery and Debt is expected to drop sharply. It is also expected that production efficiency will be improved as full-scale investments can be made even in production lines that have been postponed.
Meanwhile, Binggrae's stock price hit the ceiling on Wednesday when news of its purchase of Haitai Ice Cream was reported.
